Recommendation
By Minute Motion:
1. Authorize the City Manager to execute a Memorandum of Understanding
between Community Connect and the City of Palm Desert to participate in
the 211 Riverside County Information and Referral Program (Contract No.
); and
2. Authorize expenditure of funds in an amount not to exceed $7,500 from
Account No. 110-4132-411-3090.
Executive Summary
Since 2005, the City of Palm Desert has been a member of Riverside County's
2111nformation and Referral Program. Approval of this Memorandum of Understanding
for FY 2013/2014 will cover the City's continued participation in this Program. This
Program has become a vital informational and referral tool for residents of Palm Desert,
and as such, continued support by the City of Palm Desert is recommended.
Backqround
Riverside County's 2111nformation and Referral Program continues to provide Palm
Desert residents and visitors with 24-hour access to information and referral services
via 800 or 211 numbers. Referrals are provided to public social service agencies,
government agencies, and non-profit organizations established to provide needed

services such as basic human necessities (e.g. food, clothing, shelter); physical and
mental health resources; drug and alcohol intervention and rehabilitation; employment
support including job training and transportation assistance; support services for senior
citizens and people with disabilities; support for children, youth, and families (e.g. child
care services, legal services, hospice care, summer camps and recreation programs);
and protective services.
Per the 2012/13 Nine Month Statistical Report for the period of July 1, 2012 to March
31, 2013, the 211 System received 552 calls from Palm Desert residents for various
services. This number does fluctuate based on the need for services by residents at
any given time throughout the year. The report also reflects a continuous increase in
the demand for 211 services.
Fiscal Analvsis
Funds are available in the FY 2013/14 Budget under Account No. 110-4132-411-3090.

For Information and Referral Servi+ces via toil-free c�r 211 Number
WHEREAS, the City desires CC to provide 'rnf�armation and referral services ta cali�rs,
toN-free, via 211; and
WHEREAS, people in need require 24-hc�ur respons+e ta their inquiries about local
human services; and
WHEREAS, CC is a contractor which has #he experienc� and ability to provide such
services; and
WHEREAS, the City and the CC wish to enter inta �n agreement whereby CC will
fumish such services;
Nt�W THEF�EF�}RE, the City arrd the CC mutually agree fo fihe following terms and
canditions:
I. CC's RESPC�NStBILITIES
A. Coordinate with all telephone providers ta route 211 cafls to GC.
B. Pravide ali equipm�ent necessary far the perfc�rmance af this agr�ement and be
r�spansible for the maintenance af said equipment.
C. Maintain an up-to-dafie database �f community health artd human services fc�r
Riverside County.
D. Employ trained Information and Referral Specialists to #ake calls from #he pubfic
in search of senrices and refer callers to apprapriate agencies to me�t their
needs.
E. Caordinate collaborative eff�rts to help �communities build capacities fi�ar meeting
the health and huma� service needs of the public.
F. Identify gaps in service� and infarm funders and service providers about those
gaps.
G. Educate the public about available services.
H. Wark with the City a�cials to establish a protocol for non-emergency informatior�
and refe��al during disas#ers.
L Pravide annual service reperrts af information and referral requests from zip
codes within the Cityr limits.
I1. THE CITY's RESPOIdSiBILITIES :
A. Serve as the primary facal pc�int ir� the ccymmunity for connecting peopls with City
department information and referral.
B. Re#er callers to appropriate agencies and services to meet their needs, inciuding
2-1-1 Riverside Caunty, a pragram of CG.

iH. MUTUAL RESPtJNSiBILtTIES
A. The Gity and CC will wo�k tc�gether tc� develc►p apprapriate reiationships, and
make every effort not to dupli�ate efforts.
B. Th� City and CC wili make euery effort not to approach funders to duplicate
prograrns that may be provided by partnering agencies.
C. The City and CC will strive ta educate the community about c�ur individuai rQles
and missions, and will work to mutuaHy promote c�ur rales.
D. The City and CC agree to cammunicate regulariy and nu�ture our collaboration,
and will ensure that partner networks are included in #he develaprnent c�f
apprapriate cammunity initiatives.
E. The City and CC will work togett�er to develop an effective communi#y plan fr�r
sharing informatic�n in local dis�asters.
F. The City and CC will work tog�ther claseiy and build upon the ac#ivities af each.
This may invalve numerous vehicles such as:
1. Links to connect respective web sit�s.
2. Participation with 2'I 1 Steering Committee meetings ifi city staff is auailable
and meetings are local.
IV. FISCA� PROVISIQNS
A. The City a�rees to pay CC an annual fee. The rate is based on $.13 per capita
of th� City of Paim Desert.
B. The City agrees to pay annualiy, unless some ather methad of payment is
mutually agreed to 'rn writing.
C. CC agrees to submit ann�al invoices#o the City by June 3C}, 2fJ1�.
V. INDEPENDENT GQNTRACTOR
1n the performance of the obfigations under this agreement, it is understaod and agreed
that CC is at all times acting and performing services as an inc�ependen# contractor, and
the City shall exercise n�a contral ar direction over the rnanner an�3 means by vuhich CC
performs its obligatians under this contract, except as herein stated. CG will report ta a
contract administrator appointed by the City. A(I persons employed by ar vcrlunteering
for GC in the perfom�tance of CG's services and functions shali be considered
emplr�yees, vc�lunteers, and agents of CC. No person employed or vc�lunteering for CC
shal! be entitled to a City pension, civil service, or any status c�r right, nor shall he or she
be deemed to be a City emplayee as a result of #his Agreement. Additionally, ail
persans employed by or volunteering for CC shall not represent themselves to be
affiiia#ed with fhe City.
VL INQEMNIFICATIfJN
CC p�omis�;s and agrees to defend, protect, indemnify, and save harmless the City, its
c�fficers, agents, and employees, frc�m and against any, and all ciaims, demands, and
liability for damages ficrr persanal injury or property damage suffered by reason of any
act or c�mission o# CC, or CC's employees, volunteers, agents, or cantractors, or by
reason of any dangerous or defecti�e condition caused ar permitted by CC c�r CC's
employees, volunfieers, ag�nts, or contractars.

The City promises and agrees to defend, indemnify, and save harmle�s GG, its officers,
emplayees, and vc�lunteers from all claims, demands, and liataility for damages fiar
personal injury or prQperty damage suffered by reasar� of any act or omission c�f the City
ar the City's officers or ernplayess, ar by reasan of any dangerous or defective condition
caused or permitted by #he City or the City's o�cers Qr emplayees, except where such
action, orrzission, or conditi�n is caused by or is the result of an action, omissic�n, ar
request of CC or GC's afficers, employees, t�r volunteers ar is aile�ed to arise aut of the
execution of this Agreement.
VU. INSURANCE
A. CC sha11 secure and maintain throughout the contract perio�l and any e�c�kensions
thereof, prc�f�ssional liability insurance, public liability insurance, property
damage, and vehicle liabilify insurance effe�ive as of the effective date vf this
Agreement, and sha[I be protected from clairns fior damages far persorral injur�,
including accidental death, as well as from c�aims far prc�perty damage which
may arise fram operations from this Agreement. Said insurance shall be
maintained in full force and effect cfuring the term of the Agreement ar renewals
or extensions thereof. Such a policy shall be for not Isss than $1,0OO,OQO, fcar
injuries, including accidental death, to anyc�ne persors and, subject to the same
[imit for �;a�h person, in an amount nat less than $1,0OO,OQO on accc�unt far any
one accurrence, and $1,000,000 for property damage, and shall be placeti with a
company aufihori�ed to conduct business in the Sta#� of GaFifornia. The City shaU
be named as an additional insured on all policies and/or certificates of insurance.
Capies af all �olicies ar certificates shall provide for thirty (30} days written nofice
to #he City prior to any reduction in coverage or cancellatian. Such insurance
coverage shaN be primary and shall not require any contribution by the City or by
the City's ir�surance carriers.
The amass af suGh insurance shal( not be de�;med a limitation of CC's agreement
to save and hol� harmless and ifi the City becom�s liable for an amount in excess
ofi the insurance, CC will save and hald the Gi�r harmless from the wl�ale ther�of.
B. CC shall secure and maintain throughout the term of this A�reement, UVarksrs'
Campensation insurance as prescribed by the laws c�f the State c�f Californ'ra. A
certificate evidsncing such coverage shall be filsd with the City Manager's O��e.
Said csrtificate shall pravide fhat the Gity wi11 be given at least thirty (30) days
written notice priar to cancellation.
VIIt. TERM
This MOU shal! be in effect from July 1, 2013 thraugh June 30, �0'�4„ but may be
terminated ear{ier in acct�rdance with Section IX.
IX. EARLY TERMINATION
A. Far Cause. If either party fails ta perFarm any duties c�r obligatians imposed an it
by this Agreement and such failure cantir�ues for thirty (30) days after written
natification by one party t� the other, then this Ag�eement wi[I be in breach and

the party provid�ng suGh noti�:e may terminate this Agreement immediately
there�fter_
B. Without Cause. Either party at any tim� may terminate this Agreement without
cause upon giving of thirty (30) days prior written nc�tice to the other af �uch
in#ent to terminate at the address set�u# in Section of this Agreernent.
C. Fteimbursement of Campensation. If this Agreement is terminate�i pricrr tc� the
end of the term set fQrth in Sectian, CC shaN be compensated on a pro rata
basis.
X. Nt7TICES
Notices shall be deemed given undsr this MOU when in writing and personally delivered
or placed in the U.S. Mail, �rst class, postage prepaid, addressed as f�allaws:

A. This MOU constitutes the entire agreement between #he parkies. No waiwer of
any term or condition af this Agreement shal! be deemec! a eontinuing waiver
here4f. This Agreement is binding upon CC and their successors and assignees.
Except as otherwise provided herein, CC shall nat assign, sublet, or transfer iis
interest in this Agreement or any part thereof without the prior written cansent of
#he City. Any such assignment shafl, at fhe a�rti+�n of the City, immediately void
this Agreement.
B. Any alterna#ions, variations, modificatians, or waivers of provisions of the M�JU,
unless specificalEy allowed in the M{�U, shall be valid only when they have been
reduced to w�iting, duly signed and approved by the Authorized Representatives
of both parties as an amendment to this MOU. No orai understanding or
agreement n€�t incorparated herein shall be binding on any of the Parties t�ereta.
XII CONCLUSIQN
A. This M�U, consisting af five pages, is the full and complete dacument describing
services to be rendered by CC and the City including aN covenants, canditians,
and benefits.
B. fihe signatures af the Parties affixed to this M�U affirm that they are duly
authorized #o commit and bind their resp�ctive agencies to the terms and
conditiQns set forth in this dc�cument.
