Schwartz, Management Analyst DATE: August 28, 2014 CONTENTS: Image of Urban Tree by Carlos Basanta Carlos Basanta's Biography Deed of Gift to City of Palm Desert Recommendation By Minute Motion: 1) Approve the donation of Urban Tree by Carlos Basanta to the Public Art collection from the artist; 2) authorize Mayor to sign Deed of Gift to City of Palm Desert. Commission Recommendation At its meeting of July 23, 2014, the Art in Public Places (AIPP) Commission recommended with a vote of 6-0-0, with Commissioner Blalock absent, to accept the donation of Urban Tree by Carlos Basanta into the public art collection provided that it is in good condition and stable at the conclusion of the 2013/2014 EI Paseo Invitational Exhibition. Backqround Urban Tree by Carlos Basanta is currently on display on EI Paseo as part of the 2013/2014 EI Paseo Invitational Exhibition. Instead of taking the sculpture at the conclusion of the exhibition, the artist contacted staff and offered to donate it to the City's collection. If accepted into the collection, staff would like to install the sculpture at a yet to be determined location along Desert Willow Drive, or near the Desert Willow clubhouse. The artist values the sculpture at $40,000. Staff Report Carlos Basanta Donation of Urban Tree Page 2 August 28, 2014 Fiscal Analvsis If the donation is approved, the City's fiscal responsibility would be the cost of moving the sculpture to its new location at an estimated cost of $400, signage at an estimated cost of $100, and the installation of a concrete pad at an estimated cost of $800. The total cost of the project is estimated at $1,300. Minimal additional funds would be required on an annual basis for maintaining and insuring the artwork. Funds for relocation and installation of the sculpture are available in Account Number 436-4650- 454-4001. No General Fund monies will be expended. The signed Deed of Gift establishes and governs the legal relationship between the DONOR and CITY and the legal status of the materials. 1. DONOR hereby donates to CITY materials entitled: z. The following is a complete description ofthe donation: 3. This donation has been received by CITY as a gift. DONOR acknowledges that he/she is the owner of the above materials and hereby transfers physical custody and intellectual and literary property rights of said materials to CITY. This includes any copyright over the materials, as well as the right to reproduction and the right to republication of the materials in any format, except as specified below: 4. CITY recognizes and respects all forms of intellectual property and will make every effort to ensure credit and acknowledgement of the author and creator of such materials. 5. Title to the Property shall pass to CITY upon delivery to the CITY. At any time thereafter, the DONOR shall be permitted to examine any of the Papers during the regular business hours of the Archives. 6. In consideration of mutual benefits, DONOR enters into this agreement with CITY for access, use, disposition, and ownership of these donated materials. CITY shall have ownership of these materials upon receipt, store these materials according to accepted standards, process them and maintain the artwork against the ravages of time, vandalism and elements. 1 72500.00001\8308098.1 - 7. The following conditions apply to this gift(s)to CITY : • It is understood that this gift is outright and unconditional unless otherwise noted upon this Agreement. • The DONOR agrees that there are no restrictions on access and use of the artwork described unless otherwise noted upon this Agreement. • This Deed of Gift represents the entire agreement of the parties with regard to the matters set herein, and it may be amended only by written agreement accepted and signed by the DONOR (or legal representative) and a designated representative of CITY . • It is understood that artwork may be reprinted in whole or in part and may be used in whole or in part for any use determined by CITY in its sole discretion. • CITY makes no representation as to the value of the donated property and cannot and does not appraise or assign a value to the gift and provides only the description of the property donated as set forth in this Deed. • CITY after a reasonable period of time may return the signal cabinet to its original state.
