Approve First Amendment to Agreement (Contract No. C32351) with Diamond Contract Services, Inc., for janitorial services to City owned facilities for the first one-year option to extend in the amount of $69,848.28; and 2. Authorize the Mayor to execute the amendment. Funds are available in General Fund Account No. 110-4340-413-3326, R/M Janitorial. Backqround The City Council awarded Contract No. C32350 to Diamond Contract Services, Inc., on January 10, 2013, for an initial term of seventeen (17) months in the amount of $105,190.22 ($6,187.66 per month) with two, one-year options to extend the term. The contract covered the daily janitorial services to City Hall, Corporation Yard, Visitor's Center, Portola Community Center, and Joni Yard. The Joni Yard has been sold and will be removed from the Agreement. Diamond Contract Services' performance has met City standards and they have agreed to an extension of the term; therefore, staff is recommending approval of the first one- Staff Report Approve C32351, One-Year Extension with Diamond Contract Services, Inc. June 12, 2014 Page 2 of 2 year extension of contract commencing July 1, 2014, and expiring June 30, 2015, at the contract price of $69,848.28 ($5,820.69 per month). This price reflects the elimination of services to the Joni Yard, which has been sold. Fiscal Analysis This is an on-going maintenance activity with no fiscal impact beyond the contract amount. C32351 FIRST AMENDMENT TO AGREEMENT WHEREAS, the City of Palm Desert ("CITY") and Diamond Contract Services, Inc., ("CONTRACTOR"), entered into an agreement, dated January 10, 2013, to provide janitorial services for City owned facilities ("Agreement"), the parties wish to amend the Agreement effective July 1, 2014. NOW, THEREFORE, the parties agree as follows: A. In the first paragraph of the Agreement, the facility identified as "74833 Joni Drive (Joni Yard)," is deleted. B. TERM is amended to add the following paragraph to the end of the existing section, as amended. "The term of this Agreement is extended, and shall include the time period from July 1, 2014, through June 30, 2015." C. CITY'S OBLIGATIONS is hereby deleted and replaced with, "For furnishing services as specified in this Agreement, CITY will pay and CONTRACTOR shall receive in full compensation therefor the total sum of Five Thousand Eight Hundred Twenty and 69/100 Dollars ($5,820.69) per month as billed on a per-item monthly basis as set forth in the Contract Documents and adopted by the CITY. Total contract shall not exceed Sixty-nine Thousand Eight Hundred Forty-eight and 28/100 Dollars ($69,848.28) for twelve (12) months. D. All other terms and conditions of the Agreement shall remain unchanged, and shall remain in full force and effect.
