Funds are available in General Fund Account No. 110-4340-413-3326, R/M Janitorial.
Backaround
The City Council awarded Contract No. C32350 to Diamond Contract Services, Inc.,
(Diamond) on January 10, 2013, for an initial term of seventeen months in the amount
of $105,190.22 ($6,187.66 per month) with two, one-year options to extend the term.
The contract covered the daily janitorial services to City Hall, Corporation Yard, Visitor's
Center, Portola Community Center, and Joni Yard. The Joni Yard has been sold and
will be removed from the Agreement.

On June 9, 2014, City staff discovered that Diamond did not have Worker's
Compensation Insurance, which was later confirmed by Mr. Steve Walton, President of
Diamond. Mr. Walton indicated that Diamond was not able to continue providing
janitorial service to the City of Palm Desert at the above-referenced facilities.
Due to the reduction in staff at the City of Palm Desert over the last several years,
current staffing levels do not allow for the janitorial services for these four facilities to be
accomplished by City staff. Therefore, staff sought an interim janitorial company to step
in and continue the same services for the same price. Dedicated Building Services,
LLC (Dedicated) agreed to assume the same contractual obligations at the same price
until August 30, 2014, including two, 30-day contract extension options (see attached).
The City Manager approved Contract No. C with Dedicated under the same
contractual provisions and price as the original Diamond contract. Additionally, the City
Manager directed staff to solicit bids/proposals for a new vendor. A new contract will be
brought before the City Council in approximately three months.
Therefore, staff recommends the City Council ratify the City Manager's approval and
execution of the interim contract with Dedicated commencing June 10, 2014, at the
contract price of $5,820.69 per month. This price reflects the elimination of services to
the Joni Yard, which has been sold.
Fiscal Analvsis
Dedicated has agreed to assume the same price during the interim period, therefore
there is no financial impact to the City beyond the contract amount.

Is it feasib�e for us to use Dedicated Building Services for our custodial service providers for the
interim time period, until we bid out for another contractor? We have a very good crew operating
in four buildings that finally runs smoothly. They are willing to honor the Diamond Contract Specs
and keep the same peopie we are now using. They have hired Mike Selwood who was their
supervisor from Diamand. Basically everything would be the same operation for the same price.

his calls to Diamond have regularly gone unanswered and that two of our buildings were not

On June 9, 2014, substantially all of the assets of Diamond Contract Services Inc. are expected to
be sold to another company within the janitorial services sector. Included in the assets being
transferred is the contract to supply janitorial and custodial services to your facility. Diamond
expects the purchaser to retain all of the existing janitorial staff,as well as all supervisory and
account management personnel,who service your facility. This will help ensure that there are zero
interruptions to the level of service you receive as a result of the transfer and will also provide
continuity of employment to the custodial staff going forward.
Diamond is excited about the future opportunities for its employees and is asking for your advance

AGREEMENT FOR JANITORIAL SERVICES FOR
CITY OWNED FACILITIES
THIS AGREEMENT is made and entered into the City of Palm Desert on June 26,
2014, by and between THE CITY OF PALM DESERT, a municipal corporation,
hereinafter referred to as "CITY", and Dedicated Buildinq Services LLC referred to as
"CONTRACTOR" to provide janitorial services at the following CITY owned facilities:
73-510 Fred Waring Drive (City Hall), 73-470 EI Paseo, Suite F-7 (Visitor's Center),
74705 42�d Avenue (Corporation Yard), and 45-480 Portola Avenue (Portola Community
Center).
WITNESSETH:
RECITALS:
The CITY desires that CONTRACTOR provide janitorial services for the above
referenced CITY facilities;
1. CONTRACTOR is assuming all contractual obligations for CITY FACILITIES
JANITORIAL SERVICES, PROJECT NO. 771-13, in strict accordance with the
Contract Documents identified below and attached hereto as Exhibit A (Contract
Documents and Specifications), Exhibit B (Addendum No. 1), and Exhibit C
(Agreement for Janitorial Services for City Owned Facilities between Diamond
Contract Services, Inc., and the CITY).
2. CONTRACTOR states that it has ascertained that its Subcontractors, if any, are
properly licensed and possess the requisite skill and forces, has examined the
site and Contract in accordance with the Contract Documents for the money set
forth below to be paid as provided in the Contract Documents.
AGREEMENT:
IT IS AGREED BY THE PARTIES AS FOLLOWS:
1. TERM. The term of this Agreement shall commence on June 10, 2014, and
expire on August 31, 2014. The CITY has the option of extending the contract on
a month-to-month basis for two, 30-day extension options based on the
performance of the Contractor and by mutual agreement.
2. CITY'S OBLIGATIONS. For furnishing services, as specified in this Agreement,
CITY will pay and CONTRACTOR shall receive in full compensation, therefore
the total sum of Five Thousand Eiqht Hundred Twenty and 69/100 dollars
($5,820.69) per month as billed on a per-item monthly basis as set forth in the
Contract Documents and adopted by the CITY. Total contract shall not exceed
Seventeen Thousand Four Hundred Sixty-two and 07/100 dollars ($17,462.07)
for three (3) months.

3. CONTRACTOR'S OBLIGATION. For, and in consideration of the payments and
agreements hereinbefore mentioned to be made and performed by CITY,
CONTRACTOR agrees with CITY to furnish the services and to do everything
required by this Agreement and the contract documents.
4. HOLD HARMLESS AND INDEMNIFICATION. CONTRACTOR agrees to
defend, indemnify, and hold harmless The City of Palm Desert, its officials,
officers, employees, representatives, and agents from and against all claims
lawsuits, liabilities or damages of whatsoever nature arising out of our connection
with, or relating in any manner to, any act or omission of CONTRACTOR, his
agents, employees, subcontractors and employees thereof in connection with,
the perFormance or non-performance of this Agreement. The CONTRACTOR
shall thoroughly investigate any and all claims and indemnify the CITY and do
whatever is necessary to protect the City of Palm Desert, its official, officers,
employees, agents, and representatives as to any such claims, lawsuits,
liabilities or damages.
5. AMENDMENTS. Any amendment, modification, or variation from the terms of
this Agreement shall be in writing, signed by the CONTRACTOR and approved
by the City Council of the CITY.
6. TERMINATION. If, during the term of this Agreement, CITY determines that
CONTRACTOR is not faithfully abiding by any term or condition contained
herein, CITY may notify CONTRACTOR in writing of such defect or failure to
perform; which notice must give CONTRACTOR a three-day notice of time
thereafter in which to perform said work or cure the deficiency. If CONTRACTOR
fails to perForm said work or cure the deficiency within the three (3) days
specified in the notice, such shall constitute�a breach of this Agreement and CITY
may terminate this Agreement immediately by written notice to CONTRACTOR
to said effect. Thereafter, except as otherwise set forth herein, neither party shall
have any further duties, obligations, responsibilities, or rights under this
Agreement except, however, any and all obligation of CONTRACTOR's surety
shall remain in full force and effect, and shall not be extinguished, reduced, or in
any manner waived by the termination hereof. In said event, CONTRACTOR
shall be entitled to the reasonable value of its services performed from the
beginning of the period in which the breach occurs up to the day it received
CITY's Notice of Termination, minus any offset from such payment representing
the CITY's damages from such breach. CITY reserves the right to delay any such
payment until completion of confirmed abandonment of the project, as may be
determined in the CITY's sole discretion, so as to permit a full and complete
accounting of costs. In no event, however, shall CONTRACTOR be entitled to
receive in excess of the compensation quoted in its bid.
The City Council may terminate the contract with 30 days written notice for any
reason.

7. CONTRACT DOCUMENTS: The entire contract consists of the following: (a)
The Agreement; (b) The Notice Inviting Bids; (c) The Instruction to Bidders; (d)
The Contractor's Bid; (e) Not Used; (f) Not Used; (g) The General Terms and
Conditions; (h) The Specific Terms and Conditions; (i) The Standard
Specifications as modified in other portions of the Contract Documents; (j)
Addenda Nos. 1; (k) Any Change Orders issued; (n) Any additional or
supplemental specifications, notices, instructions and drawings issued in
accordance with the provisions of the Contract Documents. All of said
Documents presently in existence are by this reference incorporated herein as if
here set forth in full and upon the proper issuance of their documents they shall
likewise be deemed incorporated.
8. COMPLETE AGREEMENT. This written Agreement, including all writings
specifically incorporated herein by this reference, shall constitute the complete
agreement between the parties hereto. No oral agreement, understanding, or
representation not reduced to writing and specifically incorporated herein shall be
of any force or effect, nor shall any such oral agreement, understanding, or
representation be binding upon the parties hereto.
9. ANTI-DISCRIMINATION. In the performance of the terms of this Agreement,
CONTRACTOR agrees that it will not engage in, nor permit such subcontractors
as it may employ, to engage in discrimination in employment of any person
because of the age, race, color, sex, national origin or ancestry, or religion of
such persons. Violation of this provision may result in the imposition of penalties
referred to in Labor Code Section 1735.
10. AUDIT. CITY shall have the option of inspecting and/or auditing all records and
other written material used by CONTRACTOR in preparing its statements to
CITY as a condition precedent to any payment to CONTRACTOR.
11. NOTICE. All written notices to the parties hereto shall be sent by United States
mail, postage prepaid by registered or certified mail, return receipt requested,
addressed as follows:

12. LITIGATION COSTS. In the event an action is filed by either party to enforce any
rights or obligations under this Agreement, the prevailing party shall be entitled to
recover reasonable attorney's fees and court costs, in addition to any other relief
granted by the court.

13. AUTHORITY TO EXECUTE AGREEMENT. Both CITY and CONTRACTOR do
warrant that each individual executing this Agreement on behalf of each party is
a person duly authorized.
14. Execution of the Agreement by the parties constitutes their agreement to abide
by all applicable provisions of the California Labor Code; constitutes contractor's
certification that he is aware of the provisions of said Code and will comply with
them; and further constitutes Contractor's certification as follows:
"I am aware of the provisions of Section 3700 of the California Labor Code which
requires every employer to be insured against liability for worker's compensation
or to undertake self insurance in accordance with the provisions of that Code,
and I will comply with such provisions before commencing the performance of the
work of this contract."

PUBLIC NOTICE IS HEREBY GIVEN that the City of Palm Desert, as City invites
sealed bids for the above stated project and will receive such bids in the offices of the
City Clerk up to the hour of 2:30 �.m.. on December 14. 2012, at which time they will
be publicly opened and read aloud.
The work to be done consists of fumishing all materials, equipment, tools, labor, and
incidentals as required by the Contract Documents and Specifications for the above-
stated project which are generally described as daily janitorial services for City Facilities
located at 73-510 Fred Waring Drive (City Hall), 73-470 EI Paseo, Suite F-7 (Visitor's
Cerrter), 74705 42"d Avenue (Corporation Yard), 74833 Joni Drive (Joni Yard), and 45-
480 Portola Avenue (Portola Community Center).
Copies of said Specifications and Contract Documents are available from the City upon
payment of a �10 non-refundable fee.
Bids will be made on a lump-sum basis. This bid will be for a maximum of seventeen
{17) months starting February 1, 2013, with an option for two, one-year (12 month)
extensions based on contract performance and at the City's discretion.
Full compensation for ali labor, tools, materials, equipment and incidentals required to
perform the scope of work shall be considered inciuded in the contract price as listed in
the Contractors bid proposal.
Work will be accomplished while observing and adhering to all applicable regulations
inciuding but not necessarily limited to: OSHA and Cal-OSHA; hazarclous waste
disposal; NPDES; and City's MS4 Permit. Contractor or Subcor�tractor(s) must have all
required licenses� permits, certi�cates, and registrations in order to perform the scope of
work. Additional requirements include bid, and perFormance bonds as well as
commercial general, workers' compensation, business auto, and pollution liability

INSTRUCTIONS TO BIDDERS
1. Form of Bid. The bid must be made on the form of Contractors' Bid, which is
included in the Corrtract Documents and must be completely filled in, dated and
signed. If provision is made for altematives, they must all be bid, unless
othervvise provided in the Special Provisions. Bids must be submitted on all items
and schedules included in the Contract Documents. FAILURE TO BID ON ALL
ITEMS AND SCHEDULES MAY RESULT {N THE BID BEING REJECTED AS
NON-RESPONSIVE.
2. Bid Bond. The Bid must be accompanied by a 10% Bid Bond, using the fonn
provided in the Contract Documents, or by a certified or cashier's check payable
to the order of the City in an amount not less than 10% of the bid amount. Bonds
required under these specifications shall be provided by a company admitted as
Surety in the State of Califomia.
3, Submission of Bid. A Bid must be submitted in a sealed opaque envelope that
clear�y identifies the bidder and the project. Bids must be received by the time
and at the place set forth in the Notice Inviting Bids to the office of the City Clerk
and may be withdrawn only as stated in the Bid.
4. Contract Documents. The complete Contract Documents are identified in the
Agreement. Potential bidders are cautioned that the successful bidder incurs
duties and obligations under alt of the Contract Documents and that they should
not merely examine the Contract documents and specifications in making their
bid.
�. License. To be considered, a potential bidder must have the kind of license
required under provisions of the Califomia Business and Professions Code for
the work covered in its Bid when its bid is submitted. This includes a joint
venture formed to submit a bid. An active City of Palm Desert Business License
is required before vu�rk may commence.
6. Interpretation of Documents. Discrepancies, omissions, ambiguities, and
requirements likely to cause disputes between trades and similar matters shall be
promptly brought to the attention of the City, in writing, and to the attention of the
Project Manager. When appropriate, Addenda will be issued by the City. No
communication by anyone as to such matters except by Addenda affects the
meaning or requirements of the Contract Documents.
7. A n a. The City reserves the right to issue Addenda to the Contract
Documents at any time prior to the time set to open bids. Each poteritial bidder
shall teave with the Ciiy its name, address and phone number for the purpose of
receiving Addenda. The City will cause copies of Addenda to be mai{ed or
delivered to such potential bidder. To be considered, a Contractor's Bid must list
anci take into account all issued Addenda. Bids, to be acceptable, must
acknowledge receipt of all Addenda.

8. Inspec�on of Site. Bidder must examine the site(s) and acquaint themselves with
all conditions affecting the work. By making its bid, a bidder warrants that it has
made such site examination.
9. Bonds. The successful bidder shall execute and submit a Performance Bond in
the amount of One Hundred (100%) percent of the corrtract amount. All Bonds
must be on the City's forms contained in the Contract Documents.
Bonds required under these specifications and Civil Code section 91 UO et seq.
and shall be provided by a company admitted as Surety in the State of Califomia
and shall; in addition, to the bond form provide all information as follows:
a. The original, or a certified copy, of the un-revoked appointment, power of
attomey, bylaws, or other instrument entitling or authorizing the person
who executed the bond to do so, within ten (10) calendar days of the
insurer's receipt of a request to submit the instrument.
b. A certificate from the clerk of the county in which the court or officer is
located that the certificate of authority of the insurer has not been
surrendered, revoked, canceled, annulled, or suspended or, in the event
that it has, that renewed authority has been granted, within ten (10}
calendar days of the insurer's receipt of a request to submit the
statements.
10. Bids. Bids are required for the entire woric. The amount of the bid for
comparison purposes will be the seventeen-month total. The hourly rate for
the additional hourly overtime will be considered fixed and effective for the
term of the contract, but will only be due and payable when those services are
utilized.
The amount of the bid for comparison purposes will be the total of all items.
In case of discrepancy befinreen the item price and the total set forth for the
item, the item price shall prevail, provided however� if the amount set forth as
an item price is ambiguous, unintelligible or uncertain for any cause, or is
omitted, or in the case of unit basis items, is the same amount as the entry in
the "total column", then the amount set forth in the 'Total" column for the item
shall prevail in accorcfance with the following:
a. As to lump sum items, the amount set forth in the "Total" column shall be
the item price.
b. As to unit basis items, the amount set forth in the 'Total" column shail be
divided by the estimated quantity for the item and the price thus obtained
shall be the item price.
The evaluation of b'rds and award of contract shall be the exclusive decision
of the City.

11. Award of Contract. Acceptance by the City, at a regularly scfieduled City
Council meeting, of a Contractor's Bid author¢es the City to enter into a
contract subject to the execution by both Contractor and the City of a written
agreement evidencing said contract, and Contra�tor providing all
requirements set both in said contract including but not limited to insurance
and bonding requirements. Contractor is advised that Notice to Proceed may
not be issued for up to 90 days from Award of Contract.
12. Retum of Guarantee. Bid Bonds or checks of unsuccessful bidders will be
retumed by mail when the successful bidder returns the executed Agreement,
bonds, and insurance documents to the City. The Bid Bond of the successful
bidder will not be retumed but is exonerated by its execution and delivery af
the Agreement, Performance Bonds, and required insurance documents. If
the guarantee of the successful bidder is a check, it will be retumed at the
time a Bid Bond woutd be exonerated.
13. Quatifications of Bidders. No award will be made to any bidder who cannot
give satisfactory assurance to the CITY as to his own abitity to carry out the
contract, both from his financial standing and by reason of his previous
experience as a contractor on work of the nature contemplated in the
contract. The bidder may be required to submit its record of work of similar
nature to that proposed for this contract, and unfamiliarity with the type of
woric may be sufficient cause for rejection of bid.
14. Subletting and Subcontracting Bidders are required pursuant to the
Subletting and Subcontracting Fair Practices Act (commencing with Section
4100 of the Public Contract Code)to list in their bid the name and location of
p{ace of business of each sub-Contractor who will perform work or labor or
render services in or about the construction of the work or improvement or a
sub-Contractor who will specially fabricate and install a portion of the work or
improvement according to detaited drawings contained in the Contract
Documents and Specifications in excess of one half of one percent (0.5°r6) of
the prime Contractor's total bid. Failure to list a sub-Contractor for any portion
of the work under the guidelines above indicates that the Contractor's own
forces will do that portion of the work. It is the City's intent for the Subletting
and Subcontracting Fair Practice Act to apply to all phases of the worlc.
15. Govemment Code Section 4552. In entering into a public works contract or a
subcontract to supply goods, services, or materials pursuant to a public works
contract, the Contractor or sub-contractor offers and agrees to assign to the
awarding body all rights, title, and interest in and to all causes of action it may
have under Section 4 of the Clayton Act (15 U.S.C.A. Section) * or under the
Cartwright Act (Chapter 2 commencing with Section 16700) or Part 2 of
Division 7 of the Business and Professions Code), arising from purchases of
goods, services, or materials pursuant to the public v�orks contract or the
subcontract. This assignment shall be made and become effective at the

THIS AGREEMENT is made and entered into the City of Palm Desert on
, by and between THE CITY OF PALM DESERT, a municipal

"CONTRACTOR" to provide janitorial services at the following City owned facilities: 73-

found it to be correct, has ascertained that its Subcontractors are properly
licensed and possess the requisite skill and forces, has examined the site and
Contract in accorclance with the Contract Documerrts for the money set forth in
its Bid to be paid as provided in the Contract Documents.
AGREEMENT:
IT IS AGREED BY THE PARTIES AS FOLLOWS:
1. TERM. The term of this Agreement shail be from date of execution of this
instrument through June 30, 2014 for a maximum of seventeen (17) months, or
to such later date as may be agreed in writing between parties. City has the
option of twice extending the contract for one year (12 months), based on the
performance of the Contractor and by mutual agreement.
2. CITY'S OBUGATIONS. For fumishing services, as spec�ed in this Agreement,
CITY will pay and CONTRACTOR shall receive in full compensation, therefore

with, or relating in any manner to, any act or omission of CONTRACTOR, his

the performance or non-performance of this Agreement. The CONTRACTOR
shall thoroughly investigate any and all ciaims and indemnify the CITY and do
whatever is necessary to protect the City of Palm Desert, its official, officers,
employees, agents, and representatives as to any such claims, lawsuits,
liabil�ies or damages.
5. AMENDMENTS. Any amendment, modification, or variation from the terms of
this Agreement shall be in writing, signed by the CONTRACTOR and approved
by the City Council of the CITY.
6. TERMINATfON. If, during the term of this Agreement, CITY determines that
CONTRACTOR is not faithfully abiding by any term or cond�tion contained
herein, CITY may notify CONTRACTOR in writing of such defect or failure to
perform; which notice must give C4NTRACTQR a three-day notice of time
thereafter in which to perform said work or cure the deficiency. if CONTRACTOR
fails to pertorm said work or cure the deficiency within the three (3) days
specified in the notice, such shail constitute a breach of this Agreement and CITY
may terminate this Agreement immediateiy by written notice to C�NTRACTOR
to said effect. Thereafter, except as othervvise set forth herein, neither party shall
have any further duties, obligations, responsibitities, or rights under this
Agreement except, however, any and all obligation of CONTRACTUR's surety
shall remain in full fonce and effect, and shall not be extinguished, reduced, or in
any manner waived by the termination hereof. In said event, CONTRACTOR
shall be entitled to the reasonable value of its services per�ormed from the
begEnning of the period in which the breach occurs up to the day it received
CITY's Notice of Termination, minus any offset from such payment representing
the CITY's damages from such breach. CITY reserves the right to delay any such
payment uMil completion of co�rmed abandonment of the project, as may be
determined in the CITY's sole discretion, so as to permit a full and complete
accounting of costs. In no event, however, shatl CONTRACTOR be entitled to
receive in excess of the compensa�on quoted in its bid.
The City Council may terminate the contract with 30 days wriiten notice for any
reasan.
7. CONTRACT DOCUMENTS: The entire contract consists of the following: (a)
The Agreement; (b) The Notice Inviting Bids; (c) The Instruction to Bidders; (d)
The Contractor"s Bid; (e) The Bidder"s Bond; (� The Performance Bond; (g) The

Standard Specifications as modified in other portions of the Contract Documents;
(j} Addenda Nos. ; (k) Any Change Orders issued; (n) Any additionai or

accordance with the provisions of the Contract Documents. All of said
Documents presently in existence are by this reference incorporated herein as if
here set forth in full and upon the proper issuance of their documents they shall
likewise be deemed incorporated.
8. COMPLETE AGREEMENT. This written Agreement, including all writings
specifically incorporated herein by this reference, shall constitute the complete
agreement befinreen the parties hereto. No oral agreement, understanding, or
representation not reduced to writing and specifically incorporated herein shall be
of any force �r effect, nor shall any such oral agreement, understanding, or
representation be binding upon the parties hereto.
9. ANTI-DISCRIMINATION. In the performance of the terms of this Agreement,
CONTRACTOR agrees that it will not engage in, nor permit such subcontractors
as it may employ, to engage in discrimination in employment of any person
because of the age, race, color, sex, national origin or ancestry, or religion of
such persons. Viola#ion of this provision may result in the imposition of penalties
referred to in Labor Code Section 1735.
10. AUD{T. CITY shaii have the option of inspecting and/or auditing ali recorcls and
other written material used by CONTRACTOR in preparing its statements to
CITY as a condition precedent to any payment to CONTRACTOR.
11. NOTICE• All written notices to the parties hereto shall be sent by United States

12. LITIGATI�N COSTS. In the event an action is filed by either party to er�for�e any

recover reasonable attomey's fees and court costs, in addition to any other relief
granted by the court.
13. AUTHORITY TO EXECUTE AGREEMENT. Both CITY and CONTRACTOR do

{NDEMNIFICATION
To the full extent permitted by law, Contractor shall defend, indemnify and hold
harmless the City, its employees, agents, and officials, from any liability, claims, suits*
actions, arbitrations proceedings, administrative proceedings, regulatory proceedings,
losses, expenses or costs of any kind, whether actuat, aileged or threatened� actual
attomey fees incurred by the City, court costs, interest, defense costs (including expert
witness fees), and any other costs or expenses of any kind whatsoever incurred in
relation to, as a consequence of, or arising out of, or in any way attributable in whole or
in part to the perFormance of this agreement. All obligations under this provision are to
be paid by the contractor as the City incurs them.
Without affecting the rights of the City under any provision of this agreement or this
section, Contractor shall not be required to indemnify and hald harmless the City as set
forth above, for liability attributable to the sole fault of the City, provided such sole fault
is determined by agreement between the parties or the findings of a court of competent
jurisdiction. This exception will apply only in instances where the City is shown to have
been sotely at fautt and not in instances where Contractor is solety or partially at fault or
in instances where City's fault accounts for only a percentage of the liability involved. In
those instances, the obligation of Contractor will be all-inclusive and City will be
indemnified for al{ liability incurred, even though a percentage of the liability is
attributable to conduct of the City.
Contractor acknowledges that its obligation pursuant to this section extends to
liability attributable to the City, if that liability is less than the Sole fault of the
City.
Contractor agrees to obtain executed indemnity agreements with provisions identical to
those set forth here in this section from each and every subcontractor, sub-tier
contractor, or any other person or entity involved by, for, with or on behalf of Contractor
in the perFormance of this agreement. In the event Contractor fails to obtain such
indemni#y obligations from others as require here, Contractor agrees #o be fully
responsible according to the terms of this section. Failure of the City to monitor
compliance with these requirements imposes no additional obligations on the City and
will in no way ac# as a waiver of any rights hereunder. This obligation to indemnify and
defend the City as set torth herein is binding on the successors, assigns, or heir of
Contractor and shall survive the termination of this agreement or this section.

REVIEW OF CONTRACT DOCUMENTS AND JOB SITE
CONTRACTOR shall carefully study and compare the contract documents with each
other and with information available to CONTRACTOR and fumished by CITY and shall
immediately notify the Director of Pubiic Works or his designee of errors,
inconsistencies and/or omissions discovered. If CONTRACTOR performs any activi#y
knowing it involves a recognized error, inconsistency or omission in the contract
documents without notice to the Director of Pubiic Works or his designee,
CONTRACTOR shall assume appropriate responsibility for such perFormance and shall
assume responsibility for the full costs for correction.
CONTRACTOR shall make field measurements, verify field conditions and shall
carefully compare such field measurements and conditions and other ir�formation known
to CONTRACTOR with the contract documents before commencing activities. Errors,
inconsistencies or omissions discovered shall be reported to #he Director of Public
Works or his designee immediately.
PROTECT{ON OF THE PUBLIC
CONTRACTOR shall use such foresight and shall take such steps and precautions as
his operations make necessary to protect the public from danger or damage� or loss of
life or property.
Whenever, in the opinion of CITY, an emergency exists where CONTRACTOR has not
taken sufficient precaution for the safety of the public or the protection of utilities or of
adJacent structures or property, or if immediate action shall be considered necessary in
order ta protect public or private personnel or property interest, or to prevent likely I�ss
of human life or damage on account of the operations under the contract, then and in
that event, CITY may provide suitable protection to said interest by causing such work
to be perforrned and material to be fumished as, in the opinion of CITY, may seem
reasonable and necessary.
The cost and expense of said labor and material together with the cost and expense of
such repairs as may be deemed necessary shall be borne by CONTRACTOR. If he
shall not pay said cost and expense upon presentation of the bills therefore duly
certified by the Director of Public Works or his designee,then said cost and expense will
be paid by CITY and shall thereafter be deducted from any amounts due, or which may
become due, said CONTRACTOR. Failure of CONTRACTOR to take such
precautionary measure shall not relieve CONTRACTOR of his full responsibility for
public safety.
Materials, equipment, and debris shall be stored so as to not create a public nuisance.
No materials or equipment, nor debris shall be stored at the project site without prior
written authoriza#ion.
CONTRACTOR is responsible to design, construct and maintain all safety devices,
equipment and vehicles and for conforming to a{I local, state and federal safety and
health standards, laws and regulations.

ClTY-FURNISHED EQUIPMENT
CITY will not fumish equipment for this project.
COORDINATION W{TH OTHER CONTRACTORS
CITY does not expect to have separate contractors working in the same area at the
same time; however CONTRACTOR shall coordinate and cooperate with any and all
separate contractors at no additional cost to CITY. Such coordination may inctude, but
will not be limited to, participation in regularly scheduled or special meetings with CITY,
residents, and/or o#her contractors; sharing work and materials storage areas;
scheduling work to coincide with work of another contractor and to minimize disruption
to residents; and similar tasks requested by CITY.
CONTRACT ASS{GNMENT
CONTRACTOR shall not assign, transfer, convey or otherwise dispose of the contract,
or its right, title or interest, or its power to execute such a contract to any individual or
business entity or any kir� without #he previous written consent of the City Council of
the City of Palm Desert.
NON-DISCRIMINATION
In the performance of the terms of this contract, CONTRACTOR agrees that it will not
engage in, nor will it permit its subcontractors to engage in, discrimination in the
employment of persons on the basis of age, race, color, sex, national origin or ancestry,
or religion.
PERFORMANCE DEFICIENCIES AND REDUCTION IN PAYMENT
CITY has specific criteria by which to evaluate the performance of CONTRACTOR on a
weekiy basis. If performance by C�NTRACTOR is deficient, CITY reserves the right to
subtract a cost from the monthly billing. Since it is difficult to quantify and assess a
value to every aspect of the work, CITY shall implement a standard $100 cost per
incident. The following describes deficiencies:
1. Lack of compliance to terms, conditions, and specifications.
2. Failure to suppiy adequate equipment, labor or supervision.
3. Failure to repair deficiencies in the ailotted time frarne.
4. Failure to comply with schedules.
5. Failure to protect public heaith and safety.
6. Failure to provide contractor identfication on employees.
If CONTRACTOR, or his representative, fails to perForm in accordance with the terms
and conditions of this contract, the Director of Public Works or his designee will specify
the reasons and locations, as applicable, in writing to CONTRACTOR. Failure by
C�NTRACTOR to correct any deficiencies within three {3)days of notification will result
in withholding of payment per incident and a formal written waming to CONTRACTOR
specifying that such deficiencies must be conected. Failure by the C�NTRACTOR to
correct such deficiencies within the 3-day specified time period may result in termination
of this corrtract.

In the event of termination, CITY shall be liable only for payment of those services
performed and accepted by CITY prior to the date of termination; and CONTRACTOR
and his surety shall be liable and assessed for any and all costs for the re-procurement
of the contract services.
The Director of Public Works or his representative will perform regular inspections of all
work sites and will inform CONTRACTOR by telephone of urgent deficiencies for
immediate atterrtion or repair.
INSURANCE
CONTRACTOR shall, at its own cost, provide insurance, during the entire term of this
Agreement, including any extenslon thereof, as described herein and ensure that all
Subcontractors provide insurance described herein. All insurance is to be piaced with
insurers authorized to do business in the Sta#e of Califomia with an A.M. Best and
Company rating level of A- or better, Class VI or better, or as otherwise approved by the
City.
Insurance shall include the following (or broader) coverage:
1. Insurance Services Office Commercial General Liability coverage "occurrence"
form CG 00 Q1 or its exact equivalent with an edition date prior to 2004 and with
minimum limits of $1,000,000 per occurrence and $2,000,000 in the aggregate.
Policy shall be for bodily injury and property damage including coverages far
contractual liability, personal injury, independent con#ractors, broadform property
damage, products ant! completed operations.
2. Insurance Services Office form number CA 0001 or equivalent covering
Automobile Liability, including hired and non-owned automobile liability with a
minimum limit of$1,000,000 per accident. If the contractor owns no vehicles, this
requirement may be satisfied by a non-owned and hir�ed auto endorsement to
Contractor's commercial general liability policy.
3. Wo�icers' Compensation insurance complying with Calffomia worker's
compensation laws, including statutory limits for workers' compensation and an
Employer's Liability limit of$1�000,000 per accident or disease.
Liability insurance policies required to be provided by the Contractor hereunder
shall contain or be endorsed to contain the following provisions:
a) The City of Palm Desert, its officials, officers, employees, volunteers, and agents, shall
be covered as additional insureds. Coverage shall apply to any and all liability arising
out of the Work or related to the Contract. Additional insured status under the general
liability requiremerrt shall be provided on Insurance Services Office Form CG 2010 with
an edition date prior to 2004� or its exact equivalent. Additional insured status for
completed operations sha{I be provided either in the additional insured form or through

another endorsement such as CG 20 37 with an edition date prior to 2004.
b) General and automobile liability insurance shall apply separately to each insured
against whom a claim is made or suit is brought, except with respect to the timits of the
insurer's liability. Coverage will not be limited to City's vicarious liability.
c) Liability coverage shall be primary and non-contributing with any insurance maintained
by the City.
d) Evidence of Coverage (including the workers' compensation and employer's liability
policies) shall provide that coverage shall not be suspended, voided, canceled or
reduced in coverage or in limits, without the City being provided prior written notice per
the policy's terms. Such provision shall not include any limitation of liability of the insurer
for failure to provide such notice.
e} Na liability insurance coverage provided to comply with this Agreement shall prohibit
Contractor, or Contractor's employees, or agents, from waiving the right of recovery
prior to a loss. Contrac#or waives its right of recovery agains#the City.
fl Contractor agrees to deposit with City within fifteen days of Notice to Proceed of the
Contract certificates of insurance and required endorsements. No work or services
under this Agreement shall commence until (1) Contractor has provided City with any
necessary insurance and required endorsements and (2) until such documents are
approved by the Cit�r.
There shall be no rec:ourse against the City for payment of premiums or other amounts
with respect to the insurance required to be provided by Contractor hereunder. Any
failure, actual or alleged, on the part of the City to monitor compliance with these
requiremen#s will not be deemed as a waiver of any rights on the part of the City. City
has no additional obligations by virtue of requiring the insurance set forth herein. In the
event any of said policies of insurance are canceled, Contractor shall, prior to the
cancellation date, submi#new evidence of insurance in oonformance with this Section to
City. In the event any policy of insurance requir�ed under this Agreement does not
comply with these requirements, or is canceled and not replaced� City has the right� but
not the duty, to obtain the insurance it deems necessary and any premium paid by the
City will be promptly reimbursed by Contractor, or the City will withhold amounts
sufficient to pay premium from contractor payments.
g) Contractor agrees to provide immediate notice to City of any claim or loss against
Contractor arising out of the work performed under this agreemen� City assumes no
obligation or liability by such notice, but has the right (but not the duty) to monitor the
handling of any such claim or claims if they are likely to involve City.
h) Contractor agrees to obtain executed ir�emnity agreements with provisions identical to
those set forth here in this secction from each and every subcontractor or any other
person or entity involved by, for, with or on behalf of Contractor in the perFormance of

this agreement. In the event Contractor fails to obtain such indemnity obligations from
others as required here, Contractor agrees to be fully responsible according to the
terms of this section.
TIMEIY EXECUTION OF AGREEMENT
Time is of the essence in the execution of this agreement. The bidder to whom award is
made shall execute a written agreement with City within ten (10) calendar days after
award of contract by the City Councii in order for the contract term to begin as specified
in the corrtract documents. The agreement shall be made in the form adopted by City
and incorporated in the specifications.
FAILURE TO ACCEPT CONTRACT
If the bidder to whom the award is made fails to enter into the contract, the award will be
annulled, and an award may be made to the next lowest responsible bidder, and that
bidder shall fu�ili every stipulation as if it were the party to whom the first award was
made.
SEVERABILITY
If any term, provision or condition of this agreement is held by a court of competent
jurisdiction to be invalid, void or unenforceable, the remainder of the provisions shall
remain in full force and effect and shall in no way be affected, impaired or invalidated.

INTRODUCTlON
The City of Palm Desert seeks a professional janitorial company to provide janitorial
services for o�ce areas, conference rooms, bathrooms, lobbies and common areas
located at the City facilities listed below. The janitorial services are to be sufficisnt ta
maintain the interior oifice building and the common areas in a clean, we{I maintained
condition eliminating all visible dust, dirt, litter, grime, stains, smears, finger prints, etc.
to the greatest practical degree possible.

Contractor must demonstrate the specialized knowledge, skills� and abilities necessary
to successfully and effectively perform the scope of services as defined below.
SCOPE OF SERVICES AND TERM OF CONTRACT
1. Contractor shall maintain the areas listed in the specified locations, at the fevel of
maintenance and service defined by City, for a period of seventeen (17) months
commencing on February 1, 2012. City has the option of twice extending the
contract for one year (92 morrths), based on the performance of the Contractor
and by mutual agreement.
2. The specfic services to be performed are identified on the attached Frequency
Schedules in Appendix A. Contractor shall be responsible for certain day-to-day
janitoriat activities at the City facilities listed above. Duties shall include, but not
necessarily be limited to: fumishing all labor and equipment to pertorm daily
janitorial services, Monday through Friday. The list of tasks in Appendix A is not
compr�ehensive, but covers the primary daity tasks. City reserves the righ# to
occasionally request similar worlc to be performed which is not explicitly listed
herein without additional cost.
3. Contractor is ob{iga#ed to perform and upho�d best practices such as are
considered the industry s#andard when perfarming specific services at the City
facilities. Contracto� shall perEorm duties to produce a clean, well-maintained

appearance at the facilities. Performance standards shall be subject to the
approvat of the Director of Public Works or his designee.
4. Corrtractor shall provide appropriate labor for the execution of all contract
activities. Personnel shall be fully trained in ail phases of the Janitorial Services
(as defined in the attached Frequency Schedules). Contractor shall provide
personnel capable of effective verbal communication with City represeritatives. If
City deems personnel to be inadequate to accomplish the task at hand, City may
require that the personne{ be removed from the job site and replaced with
personnel demonstrating the appropriate level of job knowledge, skills, and
verbal communication to effectively accomplish the work.
5. Contractor shall remove debris caused by atl maintenance activities on the same
working day that such debris is accumulated unless otherwise stated.
LICENSE AND CERTIFICATION REQUIREMENTS
Contractor shall possess ail permits and licenses required to comply with city, county,
state or federal laws for the work activities perFormed, including the use of chemicals.
Contractor assumes responsibility and liability for use of all chemical coMrols and shall
at all times perform chemical applications in accordance with govemmental regulations
and industry standards for their safe and appropriate use.
All licenses and cert�cates required herein, mus# be obtained and maintained at
Contra�tor's expense.
At the time of contract award� Contractor shall possess a current City of Palm Desert
Business License.
LOCAL OFFICE
The Contractor shall maintain a local o�ce with a competent representative that can be
reached during contract's scheduled working hours. An answering service or mobile
telephone rec�ording is not sufficient to fulfilt this requiremerrt. This representative must
be authorized to discuss matters pertaining to this contract, make decisions for the
company rega�ling this contract, and be available daily. A local office is described as
one that is physically located in Coachella Valley.
PERSONNEL
The Contractor shall fumish sufficient supervisory and working personnel capable of
accomplishing, on schedule, all work requir�ed under this contract.
The Contractor shall provide at least one person that works on the crew who has been
employed with the Contractor no less than one year and whose experience and
responsibi{ities have been consistent for that year with those required in this contract.
The Cor�tractor shall provide a minimum of two neatly attired, uniformed professional
service employees, whose appearance is appropriate for the context in which they will

be working. Workers shall be identifiable and shall wear a logo shirt indicating the
company's name.
The Contractor is required to conduct a security background check on ail persons
employed by the company that will enter the City facil'�ies in a working capacity prior to
commencement of work. City reserves the right to review the above referenced
documents. The City reserves the right to review all personnel assigned to this project.
Daily communication shall be through the Building Maintenance Supervisor or his
designee. A daily debriefing will be conducted with the Contractor and the Building
Maintenance Supervisor or his designee. The Contractor shall have on site at least one
worker each working day who must be able to speak and write English well enough to
convey any of the Contractor's needs and understand the City's needs.
EQUIPAAENT
The Contractor shall provide, at his or her expense, all necessary equipment as may be
required to perform tasks outlined in this Scope of Work such as: Carts (capable of
safely transporting chemicals), mop handles, brooms, vacuums, buckets, scrapers,
dusters, squeegees, non- scratching sponges, cautfon signs, scrubbers, polishers,
towels, mops and all other items. All equipment and tools shall be of high quality, clean
and well maintained in working order so as to prevent delays in the duties required to
fulfill the obligations of the Contractor. Costs of the equipment and the maintenance of
the equipment shall be the sole responsibility of the Contractor. The City reserves the
right to review and approve alt items that may be used in the pe►formance of the
contract work.
Custodial equipmen# may be stored in areas provided by the City. The Building
Maintenance Supervisor shalt designate such areas upon commencement of work.
The City of Palm Desert shall provide all paper and plastic products, chemica{s and
cleaning solutions for all tasks necessary under this contract.
SCHEDULES
Contractor's work must be scheduled to be perfotmed in consideration of the needs of
the City facilities. At the pre-contract start-up mee�ting, Contractor will present a
baseline schedule of the work for the upcoming year, in a format acceptable to City.
This schedule will be considered the permanent schedule. lf an adjustment in the
schectule needs to be made, Contractor may submit a revised schedule for approval.
City wi{l assume that Corrtractor will adhere to the schedule. City must receive
notification of changes at least 24 hours in advance.
The proposed work includes providing �egularly scheduled janitorial services. The vuork
shall be performed between the hours of 6:00 a.m. and 2:00 p.m. unless otherwise
agreed with the City.

EXTRA WORK
During the course of the contract period, additional services, labor and materials beyond
those specified in the contract may be required and performed on a time-and-materials
basis.
Extra labor will be billed according to the Extra Work Pricing Schedule provided as part
of this contract and submitted with Contractor's bid proposal.
Contractor may notify City of the need for extra work and/ar City may request extra
work. City will issue a Work Request form upon which Contractor will provide estimated
labor, material and/or unit price costs. Contractor must have a signed work order from
the Director of Public Works or his designee before beginning extra work.
Contractor shall provide finrenty-four- (24) hour emergency service, with prompt
correction of mitigation of emergency damage, when notified of an occurrence. An
emergency that is causing a hazard to the public or property mus# be responded to
within one(1) hour. Failure to do so may result in monetary deductions from the monthly
bi{ling. Response to emergency service shall be paid a#the contract rate for extra work.
Work should be limited to the level required to mitigate an emergency and further
repairs shall be completed during normal working hours.
Extra work will be a separate item from normal contractual duties. Contractor is
expected to complete the contractual duties as specified on schedule and extra work
shall not inte�Fere with nor de{ay these duties.
SAFETY PRACTICES AND CAL-OSHA
CONTRACTOR shall comply with OSHA, Cal-OSHA, and ANSI (American National
Standards Institute) standards for the type of work being perFormed. CONTRACTOR
shall plan and conduct worlc in a manner safeguarding all persons from injury and shall
take all precautions required by applicable regulations of the State Department of
Industrial Relations. Contract staff shall wear OSHA-approved safety equipment at all
times during contract work.
Upon request by the City, the Contractor shall fumish the City with a copy of their
Califomia OSHA required Injury and II{ness Prevention Plan, or written description of
their exemption.
The contractor shall comply� to the extent reasonably and commercially practicable, with
the agreement and the specifications set forth. The Contractor shall also comply with all
laws, statues, ordinances, rules, regulations, permits, licenses, authoriza#ions, directives
of all govemmerrts and govemmental authorities, which now or hereafter may be
applicable to the services provided under the agreement The contractor shall comply
with all federal, state� and local laws and regulations pertaining to the storage, use� and
disposal of °hazardous or toxic wastes, substances, or materials" are withln the
contractor's control. Material Safety Data Sheets for those products used in providing

the senrices shall be kept in an area, which is easily accessible for the employees of the
contractor and the tenants of the building.
DAMAGE TO PUBLIC OR PRNATE PROPERTY
Should any structure or property, including landscape, be damaged during permitted or
contracted operafions the persons conducting the work shall immediately notify the
property owners or the Director of Public Works or his designee. Repairs to property
damaged by the responsible party shaii be made within twerrty-four (24) hours,
excep�ng utility {ines, which shall be repaired the same working day. Repairs on private
property shall be made in accordance with the appropriate building code under permits
issued by the City of Palm Desert. Any damage caused by the permitted or contracted
persons shall be repaired or restored by them at their expense to a condition similar or
equal to that existing before such damage or injury, or they shall repair such damage in
a manner acceptable to CITY. Special attention is drawr� to sprinkler systems on all
CITY property and the need to repair damage within finrenty-four(24) hours.
MEASUREMENT. INVOICING. AND PAYMENT
Payment will not be made for any work that has been incorrectly or incompletely done
as determined by the Director of Public Works or his designee and contract
specifications. CONTRACTOR will be responsible to correct any insufficiency prior to
payment.
The City of Palm Desert reserves the right to increase or decrease the amount of work
as may be deemed necessary or expedient to the Director of Public Works or his
designee.
CITY will pay CONTRACTOR within thirty (30) calendar days of receipt of a correct
invoice. At the end of each month CONTRACTOR shal{ submit invoice(s) to CITY for
contract work completed.

A pre-contract (pre-con) initiation conference shall be conducted at the Patm Desert

The Contractor shall maintain a local office with a competent
representative that can be reached during contracYs schedule working
hours. An answering service or mobile telephone recording is not
sufficient to fulfill this requirement. This representative must be authorized
to discuss matters pertaining to this contract, make decisions for the
company regarding this contract, and be available daily. A local office is
described as one that is physically in the Coachella Valley.
If Contractor does not have an office located in the Coachella Valley as
described above, Contractor must demonstrate significant related work in
the Coachella Valley within the last three years. Significant related work is
described as janitorial services for a governmental or institutional agency
or office space of 30,000 s.f. or more. The Contractor must also have a
supervisor or foreman based in the Coachella Valley that can make
decisions for the company regarding this contract, and must be able to be
reached by phone daily.
13.Can we establish an office after we are awarded the cantract if we don't
already have one?
Answer: Establishment of a local office after award of the
contract shall have no bearing on whether the contractor meets the
"local office" requirement.
14.Is there preferential consideration made for a company within the city of
Palm Desert?
Answer: Per the Palm Desert Municipal Code, Chapter 3.32.125,
Local business preference program, the Contractor may request the
local business (Coachella Valley) preference per the process and
procedures outlined in this section of the Municipal Code.
15.Is City staff performing these duties now, and will they be terminated when
the janitorial company begins work? Are they eligible for hire by the
contractor?
Answer: City staff is currently performing the majority of
janitorial duties. It is not currently anticipated that any reduction in
staff will be a result of the contracting for janitorial services.
16.Who currently provides janitorial service for the Portola Community
Center?
Answer: Coachella Valley Desert Recreational District
17.Has the City contracted out for custodial services in the past?
Answer: Yes
18.What is the current monthly price for janitorial services?
Answer: Currently these duties are performed by City staff. Prior
contracts were based upon a different scope of work and
comparisons would not be applicable.
19.Are the estimated daily man hours inclusive of the quarterly services?
Answer: Yes
20.In your bid packet my understanding is that a minimum of 12 hours were
required for the City Hall area. At the Pre-Bid meeting, it was stated that it
was 10 to 12 hours for 2 staff members. Please clarify.
Answer: A minimum of two people and 10 man hours per day are
required at Palm Desert City Hall.
21.Will the Visitor's Center be open for business or occupied while required
janitorial services are preformed?
Answer: StafF will be in the building; however the Visitor's Center
is not open to the public until 10:00 a.m.

hereinafter refened to as "ClTY", and Diamond Contract Services �nc referred to as
"CONTRACTOR"to provide Janitorial services at the following City owned facilfties: 73-
510 Fred Waring Drive (City Hall). 73-470 El Paseo, Suite F-7 (Visitor's Cer�ter), 74705
42nd Avenue (Corpora#ion Yard), 74833 Jonf Drive (Joni Yard)� and 45-480 Portola
Avenue(Portola Community Center).
WITNESSETH:

CONTRACTOR has submitted to CITY"its Contractor's B(d for the project listed above,
1. CITY FACILITiES JANITORIAL SERVICES, PROJECT NO. 771-13,
CONTRACT NO. C32350, In strict accoradance wlth the Corrtract Documents
identified bebw� CITY has ac:cepted said Bid.
2. CONTRACTOR states that ft has re-examined its CONTRACTOR'S Bid and
found it to be correct, has ascertained that its Subcorrtractors �are properly
licensed and �ssess the requistte si�li and forces� has examined the site and
• Ccritract in accordance with the Cor�tract �cuments for the money set forth in
its Bid to be paid as provided in the Contract Documents.
AGREEMENT:
IT iS AGREED BY THE PARTIES AS FOLLOWS:
1. TERM. The tenn of this Agreement shall be from date of exe�uhon of this
instrument through June 30, 2014 for a ma�dmum of sevoenteen {17) mor�ths� or
to such fater date es may be agreed in writing between parties. City has the
option of twice extending the cor�tract for one year (12 manth$), based on the
pertormance of the Contractor and by mu#ual agreement.
2. S � ATI NS. For fumishing services, as speafied in this Agreement,
CITY wiil pay and CONTRACTOR shall receive in fuli oompensation� therefore
the total sum of stx thousand one hundred eiah�y seven and 68/10 dollars
{$61. 87.66) per month as bilied on a per-item monthly basis as set forth in the
Contract Documents and adopted by the CtTY. Total contrac.t shaA not exceed
ot�hundred five thousand one h�dred nl�ty and 22/100 dollars{$1�,5_,990.221
for seventeen(17)rr�onths.
3. CONTRACTOR'S OBLIGATION. For� and in consideration of the paymen#s and
agreemerrts hereinbefore merrtioned to be made and performed by CITY�

CONTRACTOR agrees with CITY to fumish the servk:es and to do everything
required by this Agreemer�t and the contract documents.
4. HOLD HARMLESS AND iNDEMNIFIC TfON CONTRACTOR agrees to
defend, indemnify, and hold harmless The City of Paim Desert, its off�cials�
officers, employees, representatives, and agerrts from and against al! daims
lawsuits� Ifabilfties or damages of whatsoever nature arising out of our connection
with, or rela�ng in any manner to, any act or omission of CON'TRACTOR, his
agents� employees, subcontractors and employees thereof in connectbn with�
. the performance or non-perFormance of this Agreement. The CUNTRACTOR
shall thoroughly inves�gate any and ali claims and indemnify the CITY and do
whatever is necessary to protect the City of Paim Desert, �s offidal, officers,
employees, ager�ts, and representatives as to any such claims, lawsuits,
liabllitfes or damages.
5. AANEIdDMENTS. Any amendment, mod�cation, or variation from the tenns of
this Agreement shali be in writing, signed by the CONTRACTOR and approved
by the City Council of the CITY.
fi. TERMiNATtON. if, during the term of this Agr�eement, CITY determtnes that
CONTRACTOR is not faithfully abid'mg by any term or condition corrtained
herein, CITY may notify CONTRACTOR in writing of such defect or failure to
� perform; which notice must give CONTRACTOR a three-day notice of time
thereafter!n which to pertorm sald work or cure the def�ciency. If CONTRACTOR
fails to perfoim said work or cure the de�cisncy within the three (3) days
speci�ed in the notice�such shali constitute a breach of this Agreement and CITY
may terminate this Agreement immediately by wriiten notice to CC?NTRACTOR
fio saki ef�ect. Thereafter, except as otherwise set forth l�erein� neithher party shail
have any further duties, obligations� responsibilities, or rights under this
Agreement except, however� any and alt obligation of CONTR,4CTOR's surety
shall remain in full force and effect, and shall not be extinguished, reducetl, or in
any manner waiv� by the termination hereaf. Ir+ said event, CONTRACTpR
shail be �ntiUed to the reasonable valus of its servk�s pertom�i from the
beginning of the period in which the breach occurs up to the day � received
CiTY's No�ce of Termination, m'�m s_ any offset from such payment repr�esentlng
the CITY's damages from such breach. CITY reserves the rfght to delay any such
payment ur�l completion of cor�finned abandonment of the pro�t� as may be
determined in the CITY's sole discretion, so as t� permit a fuN and complete
accounting of costs. in no event, however� shali CONTRACTOR be errtitled to
receive in excess of the compensation quoted in its bid.
The City+ Councii may terminate the contract with 30 days written notice for any
reason.

here set forth in full and upon the proper issuance of their documents they shall
likewise be deemed incorporated.
8. COMPLETE AGREEMENT. This w�itten Agreement, inciud'mg ail writings
specifically Incorporated herein by this refer+ence, shall oonstitute the complete
agreemerrt befinreen the parties her�eto. No oral agreement, understanding, or
representation not reduced to writing and specificaily incorporated herein shail be
of any force or effect, nor shall any such orai agreement, understand'mg, or
representat�on be binding upon the parties hereto.
9. ANTI-DtSCRIMINATION. tn the perf'ormance of the terms of this Agreement,
CONTRACTOR agrees that it will not engage In, nor permit such sub�ntractors
as it may empby, to engage.in disaimination in employment of any �rson
because af the age, race� color, sex, natfonal origin or ancestry, or religion of
such persons. Violation of thls provision may result in the imposltion of penalties
referred to in labor Code Section 1735.
1 Q. AUDIT. CITY shali have the option of inspec�ng and/or auditing ail recorcls and
other written materlal used by CONTRACTOR in preparing its statements to
CITY as a conditton precederrt to any payment to CONTRACTOR.
