Recommendation
By Minute Motion, approve Amendment No. 1 to Contract No. C32160 with
Vintage Associates, Inc., to reduce the contract amount by $2,250 for
Landscape Maintenance Area 1 (LMA 1).
Funds are available in General Fund Account No. 110-4611-453-3320, R/M Landscape
Services.
Backqround
On November 15, 2012, the City Council awarded Contract No. C32160 to Vintage
Associates in the amount of $237,780 for LMA 1. Included in the contract was the
former Sheriff Substation located on the northwest corner of Monterey Avenue and
Highway 111. As of February 1, 2014, the City no longer owns this property; therefore,
staff asked Vintage Associates to cease performing the monthly maintenance and
provide the cost associated with the reduction.
Vintage Associates has provided a reduction in the monthly maintenance of $450 per
month for the remainder of the contract agreement (February 1, 2014 through June 30,
2014) for a total reduction of $2,250. This amendment to the contract reduces the total
contract amount from $237,780 to $235,530.

Dear Randy,
This letter shall confirm the reduction to LMA 1 in the amaunt of$450 due to the
sale of the former Palm Dese�t Police substation on the narthwest corner of
Highway 111. The contract amount shall be reduced from $13,210 to $12,760.
Attached with this letter is the invoice for February maintenance which has been
reduced by $450 per month.

Contract C32160 Amendment No. 1 Continued from front
This Amendment covers changes to the subject contract as described herein. The Contractor shail construct, furnish
equipment and materials, and perform all work as necessary or required to complete the Amendment items for a lump
sum price agreed upon between the Contractar and the City of Palm Desert, otherwise referred to as Owner.
Contract Time Extension 0 Days.
Revised Contract Total $235,530
The undersigned Contractor approves the foregoing Amendment # 1 as to the changes, if any, in the contract
price specified for each item including any and all supervision costs and other miscellaneous costs relating to the
change in work, and as to the extension of time allowed, if any, for completion of the entire work on account of said
Amendment # 1 . The Contractor agrees to furnish all labor and materials and perform all other necessary work,
inclusive of that directly or indirectly related to the approved time extension, required to complete the Amendment
items. This document will become a supplement of the contract and all provisions will apply hereto. It is understood
that the Amendment shall be effective when approved by the �wner.
Execution of this Amendment by the Contractor constitutes a binding accord and satisfaction that fully satisfies,
waives, and releases the �wner from all claims, demands, costs, and liabilities, in contract, law or equity, arising out of
or related to the subject of the Amendment, whether known or unknown, including but not limited to direct and indirect
costs and/or damages for delay, disruption, acceleration, loss of productivity, and stacking of trades, as well as any
and all consequential damages.
This document will become a supplement to the Contract and all provisions will apply hereto, all items included above
must have required signatures as per the purchase resolution.
