HomeMy WebLinkAboutHA23650 - Portrait HomesAGREEMENT THIS AGREEMENT is made and entered into this 9'h day of March, 2006, by and between the Palm Desert Housing Authority, Palm Desert, California, a California housing authority , hereinafter referred to as "OWNER", and Portrait Homes, Inc., a California corporation, hereinafter referred to as "CONTRACTOR". RECITALS. (i) OWNER heretofore publicly bid that certain project known as the "California Villas Apartment Rehabilitation Project: Phase A - Exterior Building Renovations, Contract No. HA23650", as described hereinafter; however, no responsive bids were received. Based thereon, OWNER entered into negotiations with CONTRACTOR to do the required work. (ii) CONTRACTOR has submitted its proposal dated January 25, 2006, to do all of the required work ("Proposal"). CONTRACTOR represents that CONTRACTOR and any and all of its subcontractors are properly skilled, qualified and licensed to do the work, and that each has inspected all of the project site and existing conditions prior to CONTRACTOR'S submittal of the Proposal. (iii) Based upon CONTRACTOR'S representations and prices to do the work, OWNER has accepted CONTRACTOR'S offer as set forth in the Proposal, subject to the terms herein. (iv) It is the intent of the OWNER and CONTRACTOR in entering this Agreement to set forth terms and conditions applicable to CONTRACTOR'S performance of the work. (v) Funds that will used to complete this project are derived entirely from monies from a Low and Moderate Income Housing Fund established pursuant to Section 33334.2 of the Health and Safety Code AGREEMENT. NOW THEREFORE, in consideration of the mutual covenants herein contained, it is agreed: 1. GENERAL SCOPE OF WORK: CONTRACTOR shall furnish all necessary labor, tools, materials, appliances, and equipment for and do the work for the California Villas Apartment Rehabilitation Project: Phase A - Exterior Building Renovations, Contract No. HA23650. Said work shall be performed in accordance with the "Plans, Specifications and Contract Documents for California Villas Apartment Rehabilitation Project: Phase A - Exterior Building Renovations, Contract No. HA23650", dated October 2005, and amended to delete bidding references. A copy of said Plans, Specifications and Contract Documents were provided to and inspected by CONTRACTOR prior to CONTRACTOR'S execution of this Agreement. 2. INCORPORATED DOCUMENTS TO BE CONSIDERED COMPLEMENTARY: The aforesaid Plans, Specifications and Contract Documents, and the Proposal, attached hereto as Exhibit "A", are incorporated herein by reference and made a part hereof with like force and effect as if all of said documents were set forth in full herein. Said Plans, Specifications and Contract Documents, this written agreement 1 and the Proposal, including all attachments to the foregoing, constitute the entire Agreement between the parties. This Agreement is intended to require a complete and finished piece of work, and anything necessary to complete the work properly and in accordance with all local, state and federal laws and all applicable governmental regulations shall be performed by the CONTRACTOR, whether set out specifically in the Agreement or not. Should it be ascertained that any inconsistency exists between CONTRACTOR'S Proposal, the Plans, Specifications and Contract Documents, and/or and this written agreement, the provisions of this written agreement, then the Plans, Specifications and Contract Documents shall control. CONTRACTOR warrants and represents that all information set forth in the Proposal is true and correct. 3. TERMS OF AGREEMENT: CONTRACTOR agrees to start the work within ten (10) calendar days of the date OWNER provides CONTRACTOR with a Notice to Proceed, and to complete the work within 240 calendar days thereafter, except as otherwise provided by this Agreement or permitted in writing by OWNER. CONTRACTOR agrees to utilize its best efforts to complete all work in a shorter period of time. 4. LIQUIDATED DAMAGES: CONTRACTOR agrees further to the assessment of liquidated damages in the amount of Two Hundred Fifty and no/100 Dollars ($250.00) for each calendar day the work remains incomplete beyond the period specified in Section 3, above, and any extensions permitted pursuant to express term hereof including extensions resulting from approved change orders (see General Specifications). OWNER may deduct the amount thereof from any monies due or that may become due the CONTRACTOR under this Agreement. Progress payments made after the scheduled date of completion shall not constitute a waiver of liquidated damages. 5. INSURANCE: CONTRACTOR shall not commence work under this Agreement until he has obtained all insurance required hereunder in a company or companies acceptable to OWNER nor shall the CONTRACTOR allow any subcontractor to commence work on his subcontract until all insurance required of the subcontractor has been obtained. The CONTRACTOR shall take out and maintain, and require all subcontractors to take out and maintain, at all times during the life of this Agreement, those policies of insurance specified in the Plans, Specifications and Contract Documents. Before beginning work, the CONTRACTOR shall furnish to the OWNER a certificate of insurance as proof that he has taken out full compensation insurance for all persons whom he may employ directly or through subcontractors in carrying out the work specified herein, in accordance with the laws of the State of California. Such insurance shall be maintained in full force and effect during the period covered by this Agreement. In accordance with the provisions of Section 3700 of the California Labor Code, every contractor shall secure the payment of compensation to his employees. CONTRACTOR, prior to commencing work, shall sign and file with the OWNER a certification as follows: "I am aware of the provisions of Section 3700 of the Labor Code which require every employer to be insured against liability for worker's compensation or to undertake self insurance in accordance with the provisions of that Code, and I will comply with such provisions before commencing the performance of the work of this contract." 6. APPRENTICESHIP EMPLOYMENT: In accordance with the provisions of Section 1777.5 of the Labor Code as amended by Chapter 971, Statutes of 1939, and in 2 accordance with the regulations of the California Apprenticeship Council, properly indentured apprentices may be employed in the prosecution of the work. Attention is directed to the provisions in Section 1777.5 and 1777.6 of the Labor Code concerning the employment of apprentices by the CONTRACTOR or any subcontractor under him. Section 1777.5, as amended, requires the CONTRACTOR or subcontractor employing tradesmen in any apprenticable occupation to apply to the joint apprenticeship committee nearest the site of the public works project and which administers the apprenticeship program in that trade for a certificate of approval. The certificate will also fix the ratio of apprentices to journeymen that will be used in the performance of the contract. The ratio of apprentices to journeymen in such cases shall not be Tess than one to five except: a. When unemployment in the area of coverage by the joint apprenticeship committee has exceeded an average of 15 percent in the 90 days prior to the request for certificate, or b. When the number of apprentices in training in the area exceeds a ratio of one to five, or c. When the trade can show that it is replacing at least 1/30 of its membership through apprenticeship training on an annual basis statewide or locally, or d. When the CONTRACTOR provides evidence that he employs registered apprentices on all of his contracts on an annual average of not less than one apprentice to eight journeymen. The CONTRACTOR is required to make contributions to funds established for the administration of apprenticeship programs if he employs registered apprentices or journeymen in any apprenticable trade on such contracts and if other contractors on the public works site are making such contributions. The CONTRACTOR and subcontractor under him shall comply with the requirements of Sections 1777.5 and 1777.6 in the employment of apprentices. 7. LEGAL HOURS OF WORK: Eight (8) hours of labor shall constitute a legal day's work for all workmen employed in the execution of this contract, and the CONTRACTOR and any subcontractor under him shall comply with and be governed by the laws of the State of California having to do with working hours set forth in Division 2, Part 7, Chapter 1, Article 3, of the Labor Code of the State of California as amended. The CONTRACTOR shall forfeit, as a penalty to OWNER, Twenty -Five Dollars ($25.00) for each laborer, workman, or mechanic employed in the execution of the contract, by him or any subcontractor under him, upon any of the work hereinbefore mentioned, for each calendar day during which said laborer, workman, or mechanic is required or permitted to labor more than eight (8) hours in violation of said Labor Code. 8. PAYROLL RECORDS: CONTRACTOR shall comply with all provisions of Labor Code Section 1776 pertaining to the maintenance of payroll records, including, but not limited to, provision to OWNER of the location where payroll records may be inspected. 3 9. CONTRACTOR'S LIABILITY: Neither the Palm Desert Housing Authority, the Palm Desert Redevelopment Agency, the City of Palm Desert, nor any of Authority's, City's, or Agency's officials, officers, agents and employees shall be answerable or accountable in any manner for any loss or damage that may happen to the work or any part thereof, or for any of the materials or other things used or employed in performing the work; or for injury or damage to any person or persons, either workmen, employees of the CONTRACTOR or his subcontractors or the public, or for damage to adjoining or other property from any cause whatsoever arising out of or in connection with the performance of the work. The CONTRACTOR shall be responsible for any damage or injury to any person or property resulting from defects or obstructions or from any cause whatsoever, except the sole negligence or willful misconduct of the OWNER, its employees, servants, or independent contractors who are directly responsible to OWNER during the progress of the work or at any time before its completion and final acceptance. In furtherance of the foregoing, the CONTRACTOR shall comply with and be bound by all indemnity and hold harmless provisions set forth in the Plans, Specifications and Contract Documents (see General Specifications.) 10. BONDS: CONTRACTOR shall procure and maintain in effect throughout the term of this Agreement, a labor and material (payment) bond, and a faithful performance bond, each from a California admitted surety insurer, and in such form and amounts as required by OWNER. 11. SUBCONTRACTORS: CONTRACTOR warrants and represents that he has truthfully provided in the Proposal provided to OWNER, the name and location of the place of business of each subcontractor who will perform work or labor or render service to CONTRACTOR in or about the construction of the work or improvement in an amount in excess of one-half of one percent (1/2%) of the total contract amount. 12. LICENSES: In addition to all other licenses required by law in order for CONTRACTOR to do the required work, CONTRACTOR shall possess, at all times throughout the term of this Agreement, the following class of current contractor's license: California "B", and CONTRACTOR'S subcontractors shall have the following class(es) of contractors licenses: C39, C35, C33, C29, C21, C10, and C8. 13. CONTRACT PRICE AND PAYMENT: OWNER shall pay to the CONTRACTOR for furnishing the material and doing the prescribed work for the lump sum prices set forth in CONTRACTOR'S Proposal for the base bid items, plus Alternate Items Nos. 1 and 6, and Allowance Items 2, 3, 4, and 5, in accordance with payment provisions set forth in the Plans, Specifications and Contract Documents. Payment to the CONTRACTOR shall be derived entirely from monies from a Low and Moderate Income Housing Fund established pursuant to Section 33334.2 of the Health and Safety Code. 14. MEASUREMENT AND PAYMENT OF ALLOWANCE ITEMS: The cost of all labor, material and equipment necessary to complete the work as described in the allowance items shall be included in the prices for each allowance item, either as a lump sum or by final quantities, whatever is indicated. The final payment quantities will be based on the actual amount of materials installed or measured on the job. Supporting documentation will be required for all allowance work performed. No payment will be made for any materials not adequately supported by such documentation. The contract unit price shall include all labor, material and equipment costs necessary to complete the work, even though not shown or specified. An allowance item will be considered complete when all necessary work has been completed and accepted by the OWNER, including site clean up. 4 15. NON-DISCRIMINATION: No discrimination shall be made in the employment of persons to perform the work required herein because of age, disability, race, color, religion, sex, sexual orientation or national origin of such persons. 16. ATTORNEYS' FEES: In the event that any action or proceeding is brought by either party to enforce any term or provision of this Agreement, the prevailing party shall recover its reasonable attorneys' fees, costs of experts and all other litigation costs incurred with respect thereto. 17. INTEGRATED CONTRACT: This Agreement, together with all attachments, exhibits and all other documents incorporated by reference herein, constitutes the entire agreement between the parties. No representation, promise or agreement, whether implied, express, written or verbal, that is not set forth herein or made a part hereof, shall be binding on the parties or have any force or effect. HA23650 hereby proposes to construct the work in accordance with the Contract Documents for the amount stated In this Proposal. By submitting this Proposal, "Contractor" agrees with OWNER: 1. That unless withdrawn in person by "Contractor or some person authorized in writing by "Contractor" - not by telephone or telegram - before March 8th 2006, this Proposal constitutes an irrevocable offer for 60 calendar days after that date. 2. The OWNER has the right to waive any irregularities or informalities contained in a Proposal. 3. That the contract shall be awarded only by the goveming body of OWNER; and said contract shall only be deemed awarded after the contractor's complete submission of all contract documents, bonds, Insurance documentation, and the OWNER shall obtain all necessary signatures of the goveming body. HA23650 Construction Sequence — Construction Period (240 calendar days) Construction shall be conducted in a systematic sequence that minimizes the inconvenience on residents living in the California Villas Apartments complex. The Contractor shall proceed with construction in a continuous manner to facilitate the coordination of each phase of construction. Parking lot access for residents must be maintained et all times. Contractor personnel shall park in designated areas only. The Contractor shall consider the following construction sequence for bid purposes. 1. investigative roof renovation on Building H, units 5-8. 2. Building roof and wall renovations in the order of: Building H, I, G, F, D, C, A, B, E, and Administration / Recreation Building. The scope of work described below is a general list of items to help aid the contractor to understand the project scope for Phase A. Contractor must thoroughly read the drawings, specifications and visit the site to obtain full scope of work required to complete Phase A and provide a sound proposal. The drawings have been clarified and corrected to delineate scope of work for Phase A. There are several locations on the drawing that refer to Phase B scope of work; this work is not to be included in Phase A. During the Negotiations and Construction Administration the contractor shall direct all questions in writing to the Owner's Project Manager, available hours are from 8:00 am — 5:00pm Monday thru Friday.
