HomeMy WebLinkAboutC26600 - Davey Resource Group Contract No. C26600 AGREEMENT THIS AGREEMENT, made and entered into this 14th day of June, 2007, by and between THE CITY OF PALM DESERT, a municipal corporation, hereinafter referred to as "CITY" and Davey Resource Group, P.O. Box 347 Santa Margarita, CA 93453, hereinafter referred to as "CONSULTANT". WITNESSETH: WHEREAS, CONSULTANT is a corporation, the principal members of which are Professional CONSULTANTS duly registered under the laws of the State of California; and WHEREAS, CITY desires to engage CONSULTANT to render certain technical and professional CONSULTING services as set forth in Exhibit "A" (CONSULTANT'S Proposal of Services) in connection with the design of Project: City Wide Tree Inventory. NOW, THEREFORE, the parties hereto agree as follows: (1) CITY hereby agrees to engage CONSULTANT to perform the technical and/or professional services as hereinafter set forth. (2) CONSULTANT shall perform all work necessary within the schedules provided herein to complete the services set forth in Exhibit "A" attached hereto and by reference incorporated herein and made a part hereof. CONTRACT NO.c26600 (3) All information, data, reports and records and maps as are existing and available from the CITY and necessary for the carrying out of the work outlined in Exhibit "A" hereof shall be furnished to CONSULTANT without charge by CITY and CITY shall cooperate in every way reasonable in the carrying out of the work without delay. (4) CONSULTANT represents that, it employs or will employ at its own expense, all personnel required in performing the services under this Agreement. (5) All of the services required hereunder will be performed by CONSULTANT or under its direct supervision, and all personnel engaged in the work shall be qualified and shall be authorized or permitted under state and local law to perform such services. (6) The execution of this Agreement by the parties hereto does not constitute an authorization to proceed. CITY's Director of Public Works has not authorized CONSULTANT to proceed. (7) The CONSULTANT shall work closely with the CITY's Director of Public Works, or his designated representative, who shall be the principal officer of the CITY. The CONSULTANT shall review and receive the Director of Public Works approval of the details of work as it progresses. The Registered Civil CONSULTANT hereby designated by the CONSULTANT as its representative for supervision of the work required by this Agreement is Scot Sanders ISA No. WE-5898A. C26600 pay any company or person, other than a bona fide employee working solely for the consultant, any fee, commission, percentage, brokerage fee, gifts, or any other consideration, contingent upon or resulting from the award or making of this Agreement. For breach or violation of this warranty, CITY shall have the right to annul this Agreement without liability, or in its discretion to deduct from the contract price or consideration, or otherwise recover, the full amount of such fee, commission, percentage, brokerage fee, gift or contingent fee. (9) The right is reserved by the CITY to terminate the Agreement at any time upon seven (7) days written notice, in the event the project is to be abandoned or indefinitely postponed, or in the event the CONSULTANT'S services, in the sole judgment of CITY, are unsatisfactory or because of the CONSULTANT'S failure to prosecute the work with diligence or within the time limits specified or because of his disability or death. In any such case, the CONSULTANT shall be paid the reasonable value of the services rendered, based upon CONSULTANT'S standard hourly rates, up to the time of the termination. The CONSULTANT shall keep adequate records to substantiate costs and provide copies of original timecards in the event of termination or suspension. (10) All documents including tracings, drawings, estimates, reports, investigations and computations shall be delivered to and become the property of the CITY. CITY acknowledges and agrees that all plans, specifications, reports and other design documents prepared by CONSULTANT pursuant to this agreement shall be used exclusively on this project and shall not be used for any other work without the written consent of CONSULTANT. In the event CITY and CONSULTANT permit the re- 3 G:\PubWorks\PROJECTS\762-07 Citywide Tree Inventory\Staff Reports\06-14-07 Tree Inventory to Davey 762-07\Agreement City Wide Tree Inventory.doc CONTRACT NO. use or other use of the plans, specifications, reports or other design documents, CITY shall require the party using them to indemnify and hold harmless CITY and CONSULTANT regarding such re-use or other use, and CITY shall require the party using them to eliminate any and all references to CONSULTANT from the plans, specifications, reports and other design documents. (11) The CONSULTANT shall comply with all federal, state and local laws, ordinances and regulations applicable to work. (12) No change in the character or extent of the work to be performed by the CONSULTANT shall be made except by supplemental authority in writing between CITY and the CONSULTANT. The supplemental authority shall set forth the changes of work, extension of time and adjustment of the fee to be paid by CITY to the CONSULTANT, if any. (13) In connection with the execution of this Agreement, the CONSULTANT shall not discriminate against any employee or applicant for employment because of race, religion, color, sex or national origin. The CONSULTANT shall take affirmative actions to insure equal employment opportunity and that employees are treated during their employment without regard to their race, religion, color, sex or national origin. Such actions shall include, but not limited to, the following: employment, upgrading, demotion or transfer; recruitment or recruitment advertising; layoff or termination; rates of pay, or other forms of compensation and selection for training, including apprenticeship. (14) The CITY agrees to pay the CONSULTANT for the work required by this Agreement on the following basis: CONSULTANT shall submit invoices monthly for services performed in the previous month not to exceed the total contract amount of: $33,440.00 (Thirty-, Three thousand Four Hundred Forty Dollars: NO 00/100 ONLY). CITY agrees to pay all undisputed invoices within thirty (30) days of receipt of invoice. CITY agrees to notify CONSULTANT of disputed invoices within fifteen (15) days of receipt of said invoice. (15) The CONSULTANT agrees to complete the work and submit the Final Design CONSULTANTING phase as displayed in Exhibit "A". (16) In the event that any judgment is entered in any action upon this Agreement, the party hereto against whom such judgment is rendered agrees to pay the other party an amount equal to the reasonable value of the legal services performed in his or its behalf in such action and that such amount may be added to and made a part of such judgment. (17) This Agreement shall be binding on the successors and assigns of the parties, but it shall not be assigned by the CONSULTANT without written consent of the CITY. (18) The CONSULTANT shall be an independent contractor, not an employee of the CITY. (19) Prohibited interests are as follows: No officer, member or employee of the CITY during his tenure or one year thereafter shall have any interest, direct or indirect, in this Agreement or the proceeds 5 G:\PubWorks\PROJECTS\762-07 Citywide Tree Inventory\Staff Reports\06-14-07 Tree Inventory to Davey 762-07\Agreement City Wide Tree Inventory.doc CONTRACT NO. thereof. The parties hereto covenant and agree that to their knowledge no member of the City Council, officer or employee of the CITY has any interest, whether contractual, non-contractual, financial or otherwise, in this transaction, or in business of the contracting party other than the CITY, and that if any such interest comes to the knowledge of either party at any time a full and complete disclosure of all such information will be made in writing to the other party or parties, even if such interest would not be considered a conflict of interest under applicable laws. The CONSULTANT hereby covenants that he has, at the time of this Agreement, no interest, and that he shall not acquire any interest in the future, direct or indirect, which would conflict in any manner or degree with the performance of services required to be performed pursuant to this Agreement. The CONSULTANT further covenants that in the performance of this work no person having any such interest shall be employed by the CONSULTANT. (20) The CONSULTANT shall indemnify and save harmless the CITY, its officers and employees from and against any liability, loss, cost or expense resulting from any injury or damage to persons or property caused by the negligent acts or omission of the CONSULTANT, its agents or employees, while engaged in the performance of this Agreement. The CONSULTANT shall submit to CITY, prior to the Notice to Proceed is issued, certification of adequate coverage for "errors and omission" insurance in amounts approved by the City Attorney. Any such insurance shall not be canceled prior to written notice to and approval from the CITY. They also provide numerous environmental benefits, including temperature moderation and cooling, reduction of air pollutants, and energy conservation. Unlike other components of Palm Desert's infrastructure, the tree population, with proper management and care, will actually continue to increase in value with each passing year. However, the environmental stresses on community trees necessitate the care to ensure their beauty, vitality, and survival. As Palm Desert has recognized, a key component to a properly managed urban forest is a complete inventory. DRG's goal for this project is to provide a holistic and comprehensive approach using appropriate technology and personnel to provide an inventory that will lead to sustainable and cost-effective administration of Palm Desert's urban and community forest. • rry !^ r rYYfr y;•4 [ • • .• • • Prepared for the City of Palm Desert, California 1 Prepared by Davey Resource Group Scope of Work _ Davey Resource Group will provide the City of Palm Desert with a comprehensive inventory of all city-maintained trees. Information collected will include individual tree numbers, GIS coordinates, nomenclature, DBH, height, canopy, tree condition, and site conditions. In addition, we will develop comments as needed. DRG will use its custom-developed Work Planning Software (WPS) system which uses pen-based computers to create a GIS layer that contains all tree site data needed for this project. The inventory will be submitted to you electronically on a MS Excel Spreadsheet. During the field evaluation phase, DRG will provide the supervision, technical training, and support to staff on this project, and lend the full backing of its expertise. Vehicles and cellular phones will be provided for all staff working on this project. In addition, all personnel working on this project will use Davey-issued personal protective equipment including hard hats, safety glasses, and safety vests. All Davey employees are trained to work safely and comply with Davey drug- and alcohol-free workplace policies. DRG will work to ensure the City of Palm Desert's satisfaction with the quality and productivity of staff working on this project. The project will be completed within Palm Desert's 120-day from notice to proceed time frame. Data Collection Technology and Equipment The City of Palm Desert will be well served by Davey Resource Group's data collection technology and logistical expertise. DRG currently has, and is experienced at, operating all the equipment necessary to provide the project results the City requires. This equipment includes: • Data Collection Equipment—Global Positioning System (GPS) coordinates can be collected with a Trimble Pro XR unit, which provides sub-meter accuracy. Data collection can also be programmed into the Trimble data logger for speed and efficiency. DRG often uses pen tablet computers for GIS field data collection. The computers are installed with Davey's Work Management Software, which will be customized according to your attribute requirements as stated under section 3.1.2 of your Request for Proposal. • Work Management Software (WMS) —WMS is proprietary software created by DRG for inventory and GIS management projects. A highly flexible package, WMS can be utilized for many purposes. Assets are plotted over basemaps (ESRI shapefiles, AutoCAD drawing files, or digital orthophotos) provided by the client. ■ Personal Protective Equipment for Project Field Personnel—All DRG field personnel assigned to this project will be issued photo identification, hardhats, safety vests, safety glasses, safety cones (to be used while parking), emergency roadside flare kits, and first aid kits. • Office Equipment—DRG has all the computer and office equipment necessary to complete the following: o set up and configure the data collection equipment o program and process GIS data o prepare project data for formal presentation Prepared for the City of Palm Desert, California 2 Prepared by Davey Resource Group Quality Assurance The City of Palm Desert will be guaranteed the highest quality data, a standard Davey Resource Group always follows. DRG will provide extensive quality control of information with the following processes to ensure that the quality expectations are met and exceeded: • Training— Quality control is intended to assure quality data. The first step in DRG's quality control is to provide proper training of qualified individuals to create quality data from the start • Data Collections Specification—A clear understanding of the data and the methods for collection and categorization ensure high quality data. DRG will develop a detailed specification before actual data collection begins. • Field Quality Check—At the beginning of the project, 10 percent of an individual's information will be checked foe quality and completeness. All aspects of data collection will be reviewed. As the project progresses, the percentage of quality controlled information may decrease based on an individual's abilities. DRG's supervisors will provide quality control of collected information. • Where possible, quality assurance will be completed electronically so that quality checks are a permanent record of the data collected. This means there will be additional fields in the date files for quality assurance. Where this is not practical, quality assurance will be completed on paper forms, with a tally of all quality assurance activities. • Quality assurance information will be tallied by week ending date and provided to the client at least monthly, preferably by e-mail. A more detailed delivery procedure can be defined if required. Accuracy rates and classification of any errors will be included as appropriate. In addition, she owned her own consulting company working with municipal foresters on grant writing and program management. Ms. Karcher holds a degree in Political Science from the California State University, East Bay. She is a Certified Arborist through the International Society of Arboriculture (WE-7103A) and Secretary of the Western Chapter of the International Society of Arboriculture. She sits as an advisor to the state urban forester on the California Community Forestry Advisory Board. His primary duties include working with utility and municipal clients to develop and manage tree and asset management inventories using company-developed software. He also provides support and extension services to utility clients. Mr. Sanders joined Davey Resource Group in the spring of 2000 as a consulting utility forester in California's Central Coast region. In this role, he preplanned work for line clearance crews contracted to Pacific Gas and Electric Company. Mr. Sanders' most recent tree inventory projects include the City of Mountain View, CA, Brisbane, CA, and Eureka, CA. A baccalaureate graduate of Texas A&M University's Forest Management department, Mr. Sanders has performed a variety of forest management and extension activities. Prior to joining Davey Resource Group, he worked with the American Peace Corps to assist the Government of Nepal in developing and implementing their community forestry programs. Scot is a Certified Arborist of the International Society of Arboriculture (WE-5898A) and a member of the Western Chapter of the ISA. Rob Goff, Consulting_Forester Rob Goff is a Consulting Forester for Davey Resource Group. He has been with DRG for over five years. Mr. Goff holds a B.S. degree in Forestry and Natural Resources Management from California State Polytechnic University at San Luis Obispo. He is a Certified Arborist and Certified Utility Specialist (WE- 6645AU) and a member Western Chapter of the ISA, and the Utility Arborist Association. Mr. Goff has worked with a number of utility companies and municipalities. This includes work with Arizona Public Service as a Contract Utility Planner and fire defense planning work around high voltage poles. Mr. Goff has training and supervisory experience on a number of projects with DRG. He has worked for a large utility in California as a forester and a post auditor, supervising a number of employees. In addition, he has extensive tree inventory experience, including recent experience working in the City of Brisbane, a large amusement park and resort in Southern California, and a golf course inventory in Oregon. Mr. Goff formerly worked for the United States Forest Service on a timber crew in the Los Padres National Forest. During his tenure with the USFS, he worked on fire suppression, invasive species eradication,brush thinning projects, creating fuel breaks and timber thinning. DRG has over 200 qualified employees who may be assigned to work on the field data collection portions of this project. In addition to having practical, daily experience in assessing and identifying natural resources, all of our field employees have a Bachelors Degree in Forestry, Natural Resource Management, Environmental Studies, or a related field. Many have, or are currently pursuing, advanced certifications or licenses within the industry. We will submit a profile for all field employees identified to work on this project should it be desired by the City of Palm Desert. Prepared for the City of Palm Desert, California 7 Prepared by Davey Resource Group Completed Comparable Projects City of Mountain View Operations Review, Inventory and Management Plan Mountain View, California Contact Name: Mr. Bruce Hurlbert Telephone Number: (650) 903-6273 In Spring 2002, DRG was asked to assist the City by providing an Urban Forestry Operational Review of the resources in the Forestry Section. This review was designed to follow up on issues identified by a 1999 management audit conducted for the entire Community Services Department. That audit found that the Forestry Section lacked the available data on work productivity needed to make an in-depth evaluation of the Forestry Section at that time. The scope of this review included an assessment of staffing, service and expenditure levels, and an analysis of work outputs. To conclude this operations review, Davey Resource Group developed recommendations designed to enable the Forestry Section to improve its operations wherever possible. By having an objective third-party provide this information, the Forestry Section was able to reassess their goals and secure additional funding for enhanced operations. In 2006, DRG provided a comprehensive re-inventory of street and park trees to update the City's tree management GIS layers. Based on the information generated, DRG developed a management plan designed to assist the City in meeting its urban forestry goals and objectives. City of Eureka, California Contact Name: Mr. Tom Coyle Telephone Number: (707) 441-4225 In July 2003, Scot Sanders and Jack McCabe provided the City of Eureka with an update of their street tree inventory. Using the City's property parcel and streets basemaps, DRG programmed in-house software and created a GIS layer for trees. Detailed data was collected for each site, including full location addressing, tree condition, maintenance needs, and presence of utilities. In less than four days, the City of Eureka had an up-to-date tree database of over 1,300 trees. Using maps printed from the GIS system, the City was able to easily identify low-density tree areas, including the area around City Hall. With complete data on the urban forest at their fingertips, City staff began planning new planting projects for the community of Eureka. Amusement Park and Resort located in Southern California This client has requested that we not use their name in our proposals. Management of this large amusement park and resort is committed to maintaining as perfect an experience for their visitors as possible, and landscaping and tree care are no exception. By summer of 2006, the Horticulture Department found themselves challenged by a limited database created by a former employee and little technical support. DRG was contacted to upgrade the tree database with the network installation of TreeKeeper® 7.6 software, including a mobile, non-networked version synchronized to a laptop. The historic databases for various areas of the resort were converted for use in TreeKeeper®, including the associated work histories. Additionally, because of the heavy rotation of plantings at the resort and the poor maintenance of the tree database, the resort and park had DRG re-inventory most of the trees in high traffic areas around attractions, as well as many of the trees screening and framing the landscape. We have many more throughout our Western Region. City of Brisbane, California Brisbane is a small city located south of San Francisco. The city lies in a cove at the base of the San Bruno Mountain. Recently, their city council became concerned with fire safe issues. DRG was hired to do a fuel load survey and inventory their street trees utilizing maps and pen tablet computers. DRG is in the process of making recommendations for the findings. In addition, we will be assisting them in creating an education program for their citizens.
