Recommendation
By Minute Motion, that the Housing Authority Board,
1) Authorize the award of contract to Mariposa Landscapes, Inc., in
the amount of $293,076 annually plus 10% for extra work not to
exceed $29,208 annually for landscape maintenance services for
thirteen (13) Housing Authority Properties; and
2) Authorize the Executive Director to finalize and the Chairman to
execute the agreement and any documents necessary to facilitate
the contract award and implementation.
The funds are available in the approved 2012-2013 Housing Authority operating
budget.
Housinq Commission Recommendation
The Housing Commission was unable to review this item due to a lack of quorum at its
regular meeting of July 11, 2012.
Executive Summary
Staff requested sealed bids for annual landscape maintenance services for thirteen (13)
of the Authority's properties. Staff is recommending the award of contract to the lowest
responsible bidder, Mariposa Landscape, Inc., to perform landscape maintenance
services for a finrenty-four (24) month term in the amount of $293,076 annually. At the
expiration of the finrenty-four months, the Authority reserves the right to extend the

contract for an additional two one-year terms based on the performance of the
Contractor.
Backqround
Staff, including representatives from the Housing and Landscape Departments,
reviewed the two (2) bids that were received from the following companies:

The lowest bid received was for $293,076 annually from Mariposa Landscape, Inc.
Staff has conducted a thorough review and concluded that Mariposa Landscape, Inc.
meets the intent of the Bid Documents. The current contractor did not submit a bid for
these services.
The scope of services is now consistent with the City's landscape contracts including
more clearly defined frequencies as well as fines in the event there is a lack of
performance by the contractor. We also considered the changes in staff in both the
Housing and Landscape Services departments in order to ensure that the
responsibilities could be more appropriately assigned to the Authority's property
management company (RPM Company) to ensure compliance with the contract. This
will allow immediate response to the contractor by RPM Company as opposed to going
through Housing or Landscape staff first.
For FY 2011/2012 the current landscape maintenance base contract is $255,444
however, the landscape maintenance contractor is struggling to keep the properties at
the minimum standard. The total expenses for landscape services and tree trimming is
projected to be $307,000 for the fiscal year.
For FY 2012/2013 the total budget for landscape services and tree maintenance is
$352,949. That will cover this new contract of $293,076 plus the extra work not to
exceed $29,208 and the tree maintenance work of approximately $30,000. The tree
services will be separate contracts and include tree trimming and removals.
Staff therefore recommends awarding the landscape services contract to the lowest
responsible bidder, Mariposa Landscape, Inc. in the amount of $293,076 annually plus
10% for extra work not to exceed $29,208 annually. At the expiration of the initial
twenty-four (24) month contract term, the Authority reserves the right to extend the
contract for an additional finro one-yea�r terms based on the performance of the
Contractor.

POST-AWARD CONTRACT DOCUMENTS
AGREEMENT
This AGREEMENT is made and entered into this day of
2012, by and between Palm Desert Housing Authority, California, a public agency,
hereafter called "Operator" and "Authority" interchangeably and Mariposa Landscapes,
Inc., hereinafter called "Contractor."
WITNESSETH:
WHEREAS, on June 15, 2012, Authority invited bids for landscape maintenance
services for Authority-maintained and operated properties; and
WHEREAS, pursuant to said invitation, Contractor submitted a bid, which was accepted
by Authority for said services; and
WHEREAS, Contractor has re-examined its Bid Proposal and found it to be correct,
NOW, THEREFORE, in consideration of their mutual promises, obligations, and
covenants hereinafter contained, the parties hereto agree as follows:
TERM. The term of this Agreement shall be from September 1, 2012, through June
30, 2014, or to such later date as may be agreed in writing between parties. This
contract allows for an option of two one-year contract extensions based on Contractor's
performance and mutual agreement.
AUTHORITY'S OBLIGATIONS. For furnishing services, as specified in this
Agreement, Authority will pay and Contractor shall receive in full compensation,
therefore the total ANNUAL contract sum TWO HUNDRED NINETY THREE AND
SEVENTY-SIX DOLLARS ($) 293,076.00 as set forth in the Contract Documents and
adopted by Authority.
CONTRACTOR'S OBLIGATION For, and in consideration of the payments and
agreements hereinbefore mentioned to be made and performed by Authority, Contractor
agrees with Authority to furnish the services and to do everything required by this
Agreement and the Specific Terms and Conditions.
HOLD HARMLESS AND INDEMNIFICATION. To the full extent permitted by law,
Contractor shall defend, indemnify and hold harmless the Authority, the City of Palm
Desert, the successor agency to the Palm Desert Redevelopment Agency and their
respective employees, agents, and its officials (collectively "Indemnitees"), from any
liability, claims, suits, actions, arbitrations proceedings, administrative proceedings,
regulatory proceedings, losses, expenses or costs of any kind, whether actual, alleged
or threatened, actual attorney fees incurred by the Authority, court costs, interest,
defense costs (including expert witness fees), and any other costs or expenses of any

kind whatsoever incurred in relation to, as a consequence of, or arising out of, or in any
way attributable in whole or in part to the performance of this agreement.
Without affecting the rights of the Authority under any provision of this agreement or this
section, Contractor shall not be required to indemnify and hold harmless the Authority
as set forth above, for liability attributable to the sole fault of the Authority, provided
such sole fault is determined by agreement between the parties or the findings of a
court of competent jurisdiction. This exception will apply only in instances where the
Authority is shown to have been solely at fault and not in instances where Contractor is
solely or partially at fault or in instances where Authority's fault accounts for only a
percentage of the liability involved. In those instances, the obligation of Contractor will
be all-inclusive and Authority will be indemnified for all liability incurred, even though a
percentage of the liability is attributable to conduct of the Authority.
Contractor acknowledges that its obligation pursuant to this section extends to liability
attributable to the Authority, if that liability is less than fhe Sole fault of the Authority.
Contractor agrees to obtain executed indemnity agreements with provisions identical to
those set forth here in this section from each and every subcontractor, sub-tier
contractor, or any other person or entity involved by, for, with or on behalf of Contractor
in the performance of this agreement. In the event Contractor fails to obtain such
indemnity obligations from others as require here, Contractor agrees to be fully
responsible according to the terms of this section. Failure of the Authority to monitor
compliance with these requirements imposes no additional obligations on the Authority
and will in no way act as a waiver of any rights hereunder. This obligation to indemnify
and defend the Authority as set forth herein is binding on the successors, assigns, or
heir of Contractor and shall survive the termination of this agreement or this section.
Contractor understands that the Authority may utilize a third-party property manager, as
its agent and/or representative, to act on its behalf with respect to the landscape
contract.
AMENDMENTS. Any amendment, modification, or variation from the terms of this
Agreement shall be in writing, signed by the Contractor and approved by the Authority
Board.
TERMINATION. If, during the term of this Agreement, Authority determines that
Contractor is not faithfully abiding by any term or condition contained herein, Authority
may notify Contractor in writing of such defect or failure to perform; which notice must
give Contractor a three-day notice of time thereafter in which to perform said work or
cure the deficiency. If Contractor fails to perform said work or cure the deficiency within
the three (3) days specified in the notice, such shall constitute a breach of this
Agreement and Authority may terminate this Agreement immediately by written notice to
Contractor to said effect. Thereafter, except as otherwise set forth herein, neither party
shall have any further duties, obligations, responsibilities, or rights under this Agreement
except, however, any and all obligation of Contractor's surety shall remain in full force
and effect, and shall not be extinguished, reduced, or in any manner waived by the
termination hereof. In said event, Contractor shall be entitled to the reasonable value of
its services performed from the beginning of the period in which the breach accurs up to

the day it received Authority's Notice of Termination, minus any offset from such
payment representing Authority's damages from such breach. Authority reserves the
right to delay any such payment until completion of confirmed abandonment of the
project, as may be determined in Authority's sole discretion, so as to permit a full and
complete accounting of costs. In no event, however, shall Contractor be entitled to
receive in excess of the compensation quoted in its bid.
The Authority may terminate the contract with 30 days written notice for any reason.
INCORPORATED BY REFERENCE. The Notice Inviting Bids; Bid Terms and
Conditions; Instructions to Bidders, General Terms and Conditions; Specific Terms and
Conditions; Contractor's BID Submission Forms; Attachments; Exhibits; Addendum
Nos. 1 and 2; Change Orders; additional or supplemental specifications, drawing, maps
or diagrams; and Authority-issued forms relating to this work, are hereby incorporated in
and made a part of this Agreement.
COMPLETE AGREEMENT. This written Agreement, including all writings specifically
incorporated herein by this reference, shall constitute the complete agreement between
the parties hereto. No oral agreement, understanding, or representation not reduced to
writing and specifically incorporated herein shall be of any force or effect, nor shall any
such oral agreement, understanding, or representation be binding upon the parties
hereto.
ANTI-DISCRIMINATION. In the performance of the terms of this Agreement, Contractor
agrees that it will not engage in, nor permit such subcontractors as it may employ, to
engage in discrimination in employment of any person because of the age, race, color,
sex, national origin or ancestry, or religion of such persons. Violation of this provision
may result in the imposition of penalties referred to in Labor Code Section 1735.
AUDIT. Authority shall have the option of inspecting and/or auditing all records and
other written material used by Contractor in preparing its statements to Authority as a
condition precedent to any payment to Contractor.

postage prepaid by registered or certified mail, return receipt requested, addressed as

LITIGATION COSTS. In the event an action is filed by either party to enforce any rights
or obligations under this Agreement, the prevailing party shall be entitled to recover
reasonable attorney's fees and court costs, in addition to any other relief granted by the
court.
AUTHORITY TO EXECUTE AGREEMENT. Both Authority and Contractor do warrant
that each individual executing this Agreement on behalf of each party is a person duly
authorized.

WORK EXPERIENCE AND TECHNICAL ABILITY OF THE BIDDER
� This project is located in a desert with extreme environmental conditions. Desert plant materiat is therefore
very specialized in nature. in addition, the City of Palm Desert has adopted naturalistic pruning methods that
must be followed by landscape maintenance contractors doing worlc for the Authority.
To be considered qualifled to perform this contract, cantractors must have adequate experience performing a
wide range of landscape maintenance activities that include the care of desert and desert-adapted plant
materials as well as experience with maintenance of occupied residential communities. Such levels of
experience and skill must have been gained by performing landscape maintenance for a public agency and/or
a public hausing authority for a minimum of 12-months for at least 3 of the last 5 years AND one of the
following:
a) 2 years experience with multi-family residential complexes
b) 1 year multi-family residential complexes and 2 years single-family resldential development such as
homeowner's association or landscape district
c) Combination of 2 years single-family residential and any local maintenance of communities with high
traffic common area pathways (i.e, local hotel}
Note that experience in the care of desert and desert-adapted plant materials as well as the maintenance
must be company wide,

The Board of the Paim Desert Housing Authority reserves the right to reject bids from firms that
do not demonstrate adequate financial standing to execute the terms of the contract.
Due to the location, size/extent and maintenance requirements of the maintenance sites, bidder
is required to state how it will provide the necessary maintenance and services in the
specifications. State the estimated manpower your company will use each week to fulfill the
contract at each site. Include supervision, irrigation and general labor sub-categories.

PROPERTY LANDSCAPE MAINTENANCE CONTRACT NO. HA-31930
JUNE 20, 2012
TO ALL PROSPECTIVE BIDDERS:
For ciarification purposes, the following information in boid and italics has been
amended.
PUBLIC NOTICE: All questions must be put in writing and be received by Authority no
later than 2:00 PM (PST) on Friday, June 22, 2012. Requests for clarifications,
questions and comments must be clearly labeled, "Written Questions for Palm Desert
Housing Authority Landscape Maintenance" and addressed to Janet Moore, City of
Palm Desert, Housing Division. Authority is not responsible for failure to respond to a
request that has not been so labeled. Responses to any questions will be sent via
e-mail in a collect�ve list.
Portions of the following sections of the bid Contract Documents and Specifications for
the Property Landscape Maintenance Contract have been amended to include the
following information. This Addendum amends the original bid Contract Documents and
Specifications as noted and when any conflict exists specific to the items identified, the
information in Addendum No. 1 will supersede the bid Contract Documents and
Specifications issued on June 15, 2012. Careful note of all Addendums shall be taken
by all parties of interest so that the proper allowances may be made in strict accordance
with the Addendums and that all trades shall be fully advised in the performance of the
work that will be required of them. The Authority maintains all rights and provisions in
the Specifications as previously presented.
SECTION 2: SPECIFICATIONS - SPECIFIC TERMS AND CONDITIONS SPECIFIC,
SERVICES TO BE PERFORMED, Irrigation System Maintenance, Item 4.
( 4. Contractual irrigation system maintenance includes all labor, material and parts for
system inspections, adjustments, and repairs for all system components from the
discharge side of the valve. Contractual irrigation system maintenance from the valve to
( the point of connection at the water meter consists of inspections-j ' '
_;adiustments and
repairs shall include:
a. Valves: electrically actuated irrigation control valves, quick coupler valves, end
line flush valves, lateral line ffush valves, and master valves. A!I valves will be

checked for proper operation, leaks, and solenoid function and connections
(where applicable). Automatic valves will be activated from the irrigation
controller, not from the bleeder valve.
b. The electrical circuit from the irrigation controller to the valve will be checked
for proper operation.
c. Filter and filter screen cleaning.
d. Lateral lines will be checked for breaks and leaks, and will be flushed at least
yearly and additionally when necessary to ensure proper system performance.
e. Emission device checks, adjustments, and repairs (Contractor will provide
parts) shall include: sprinkler head height adjustment; nozzle spray pattern
adjustment; nozzle cleaning and replacement; bubbler head height
adjustment, cleaning, and replacement; tree well repair; and drip emitter
cleaning, replacement, and removal and plugging if no plant is present.
SECTION 3: APPENDJCES, FREQUENCY SCHEDULE.
The frequency schedule has been amended and provided in the attached EXHIBIT A.
All other Contract Documents and Specifications for the Property Landscape
Maintenance Contract NO. HA-31930 remains the same.
Questions made during the pre-bid meeting and individually submitted through 4 PM
(PST) today, June 21, 2012 have been provided in the attached as EXHIBIT B to this

The following are responses to the questions received by interested Contractors
regarding the bid.
The questions submitted were very similar in nature, and although they are not restated
here, the questions are answered below in statement format.
1. What is estimated amount for the landscape maintenance bid?
There is no estimated amount established. The current contract amount is
utilized for budgeting purposes. Furthermore, as noted in the bid package, the
scope, character, locations, and frequencies of this Contract may have changed
significantly from previous landscape maintenance contracts let.
2. Who is the current contractor?
Pinnacle Landscape Company.
3. What is the current amount of the contract?
The current contract amount is $255,444.00 annually, however as noted in the
bid package, the scope, character, locations, and freguencies of this Contract
may have changed significantly from previous landscape maintenance contracts
let.
4. Does the current contract have the same renewal options as this contract?
If so, why was the current contract not renewed?
Yes, the current contract has the same renewal options as this contract. The
Authority elected not to exercise its option to renew the current contract.
5. Do the prope�ties have on-site storage facilities?
NO, REFER TO SECTION 2: SPECIFICATIONS, GENERAL TERMS AND
CONDITIONS, "PROTECTION TO THE PUBLIC' AND "LOCAL OFFICE". No
materials or equipment, nor debris shall be stored at the Sife without prior written
authorization. /n addition, Contractor shall maintain a local office that serves as a
staging area for equipment, personnel, storage of materials and supplies.
6. Are the properties gated or can they be visited at any time?
Properties are not gated with the exception of Candlewood Apartments. The
Candlewood Apartment Site property manager should be contacted for access.
While not required on other Sites, contacting the property managers as a
courtesy is encouraged. Bidders must acknowledge that Sites are occupied
residential communities and that such Sites examination are to be non-intrusive
and completed in a manner that ensures minimal resident impact.

7. Is the contractor responsible for the materials/risers?
YES, REFER TO SECTION 2: SPECIFlCATIONS, SPECIFIC TERMS AND
CONDITIONS, SPECIFIC SERVICES TO BE PERFORMED, "IRRIGATION
SYSTEM MAINTENANCE."
8. Do the properties have on-site green waste and/or trash receptacles
available?
NO, REFER TO SECTION 2: SPECIFICATIONS, SPECIFIC TERMS AIVD
CONDITIONS, SAFETY AND TRAFFIC CONTROL, "REFUSE DISPOSAL". All
refuse collected shali be removed and taken to a sanitary landfill at Contractor's
expense. Disposal of debris shall not be allowed in any Authority trash can, bin or
other Authority facility (i.e., property dumpsters), or in any park refuse container
unless other arrangements have been authorized by Authority.
9. Is the contractor responsible to pay for the encroachment permits?
YES, REFER TO SECTION 2: SPECIFICATlONS, GENERAL TERMS AND
CONDITIONS, "ENCROACHMENT PERMIT". Before commencing work that
occurs within the public right-of-way, Contractor shall apply for and receive a
permit fo work within the public right-of-way. A city inspector will be assigned to
monitor compliance with the terms and conditions of the encroachment permit,
including tratfic control procedures and devices. The Authority expects work
within the right of way which requires encroachment permits to be minimal.
10.Can the bid proposal be mailed?
Yes, bid proposals can be mailed, but in order to be considered timely, bid
proposals must be received in the office of the City of Palm Desert City
CIerWAuthority Secretary no later than 2:00 pm on Friday, June 29, 2012, at
which fime they will be opened publicly and read aloud.
11.Are any of the ponds on the properties part of the landscape maintenance
contract?
No, however, refer to SECTION 2: SPECIFICATIONS, SPECIFIC TERMS AND
CONDITIONS, "SCOPE OF SERVICES AND TERMS OF CONTRACT," item 6.
Contractor shall remove debris caused by all maintenance activities, including
but not limited to pruning and tree maintenance, on. the same working day that
such debris is accumulafed including but not limited to the ponds, parking lots
area, planters, walkways, etc.
12.How many managers are there in total?
There are 6 property managers that oversee the 13 Sites.
13.Who selects the annual color?
An authorized agent of the Authority would select the annual color. Currently the
authorized agent is RPM Company's Vice-President.
14.Is the seed and fertilizer inclusive of the contract?
YES, REFER TO SECTION 2: SPECIFICATIONS, SPECIFIC TERMS AND
CONDITIONS, SAFETY, SPECIFIC SERVICES TO BE PERFORMED, "TURF
MAIIVTENANCE— GENERAL"AND "TURF MAlNTENANCE— OVERSEEDING."
Contractor shall provide the tabor, materials and equipment for the application of
all fertilizers including but not limited fo standard formulations, fertilizers with pre-

emergents and fertilizers with slow re/ease formula. Contractor will supply and
apply the Authority approved fertilizer quarter/y (4 applications). Any additional
app/ications requested by the Authority wil/ be at "cost plus 15%." Contractor
must apply irrigation immediately foilowing any fertilizer application to effectively
wash the product into the soil. Contractor must supply perennial rye grass seed.
It will be the responsibility of Contractor to provide all materials, labor and
equipment in the application of the perennial rye grass. The application rate for
the seed shall be no less than 8 pounds per ?,000 square feet.
15.The frequency schedule specifies aphid control on oak trees would be
required once a year with 2 applications, does that mean Contractor would
be responsible once a year to put on an application and a second one on
the following week?
YES, REFER TO SECTION 3: APPENDICES, "FREQUENCY SCHEDULE."

16.Is this contract very similar to the existing one?
REFER TO SECTION 9: CONTRACT DOCUMENTS, BID TERMS AND
CONDITIONS/INSTRUCTIONS TO BIDDERS, "CHANGES TO LANDSCAPE
MAINTENANCE CONTRACT." Bidders are cautioned that the scope, character,
locations, and frequencies of this contract may have changed significantly from
previous landscape maintenance contracts let.
17.Was the Pre-bid meeting mandatory?
No, attendance to the pre-bid meeting was not mandatory in order to bid but was
strongly recommended.
18.Is the contractor responsible for pine tree application for spider mites?
REFER TO SECTION 2: SPECIFICATIONS, SPECIFIC TERMS AND
CONDITIONS, SAFETY, SPECIFIC SERVICES TO BE PERFORMED, "PLANT
MAINTENANCE', ITEM 6. Contractor is responsible and required to notify the
Authority of any diseased or pest infested material and provide a recommended
treatment for approval. The approved treatment will be outside of the contract unless
such disease or pest infestation was caused by lack of response by contractor.
19.Is this contract prevailing wage?
Yes. Contractor acknowledges that this agreement is subject to the provisions of
Division 2, Part 7, Chapter 1 (commencing with Section 1720) of the California
Labor Code relatrng to public works and the Authority, and agrees to be bound by
all the provisions thereof as though set forth in ful! herein. When applicable,
pursuant with the provisions of California Labor Code, Division 2, Part 7, Chapter
1, Articles 1 and 2 and any other regulations that apply to this contract, the
Director of the Department of Industrial Relations has ascertained the prevailing
rate of per diem wages of the locality in which the Work is to be performed and
applicable to the work to be done.

PROPERTY LANDSCAPE MAINTENANCE CONTRACT NO. HA-31930
JUNE 27, 2012
TO ALL PROSPECTIVE BIDDERS:
Portions of the following sections of the bid Contract Documents and Specifications for
the Property Landscape Maintenance Contract have been amended to include the
following information. This Addendum amends the original bid Contract Documents and
Specifications as noted and when any conflict exists specific to the items identified, the
information in Addendum No. 2 will supersede the bid Contract Documents and
Specifications issued on June 15, 2012. Careful note of all Addendums shall be taken
by all parties of interest so that the proper allowances may be made in strict accordance
with the Addendums and that all trades shall be fully advised in the performance of the
work that will be required of them. The Authority maintains al( rights and provisions in
the Specifications as previously presented.
SECTION 2: SPECIFICATIONS - SPECIFIC TERMS AND CONDITIONS SPECIFIC,
SERVICES TO BE PERFORMED, Irrigation System Maintenance, Item 4.
4. Contractual irrigation system maintenance includes all labor,
valve and irric,Lation materials for system inspections, adjustments, and repairs for all
system components includinq ' the valve. Contractual irrigation
system maintenance from the point of connection at the water meter to the
valve consists of inspections; adjustments and repairs shall include:
a. Valves: elect�ically actuated irrigation control valves, quick coupler valves, end
line flush valves, lateral line flush valves, and master valves. All valves will be
checked for proper operation, leaks, and solenoid function and connections
(where applicable). Automatic valves will be activated from the irrigation
controller, not from the bleeder valve.
b. The electrical circuit from the irrigation controller to the valve will be checked
for proper operation.
c. Filter and filter screen cleaning.
d. Lateral lines will be checked for breaks and leaks, and will be flushed at least
yearly and additionally when necessary to ensure proper system perFormance.
e. Emission device checks, adjustments, and repairs (Contractor will provide
parts) shall include: sprinkler head height adjustment; nozzle spray pattern
adjustment; nozzle cleaning and replacement; bubbler head height
adjustment, cleaning, and replacement; tree well repair; and drip emitter
cieaning, replacement, and removal and plugging if no plant is present.

All other Contract Documents and Specifications for the Property Landscape
Maintenance Contract NO. HA-31930 remains the same.

1. Does the contractor have a 30 day termination right, and if yes, during
which period (i.e. the whole contract or at time of renewal)?
NO, REFER TO SECTION 1: CONTRACT DOCUMENTS, POST-AWARD
CONTRACT DOCUMENTS, "AGREEMENT". The Authority may terminate fhe
contracf with 30 days written notice for any reason.
2. Does the Applicator's Licenses need to be current at the time of bid
submittal?
YES, REFER TO SECTION 2: SPECIFICATIONS, SPECIFIC� TERMS AND
CONDITIONS, "LICENSE AND CERTIFICATION REQUIREMENTS." At the
time that the bid is submifted, Contractor shall possess current licensure and
certificafion and shall be mainfained current and valid for the term of the contract.
3. Are the maintenance activities on the frequency schedule expected to be
completed for the entire Site?
Yes, unless otherwise indicated on the frequency schedule, the maintenance
activities must be completed by the Contractor for the entire Site.
