Monies have been included in the FY 2014/2015 proposed Palm Desert Housing Authority's operating budget, in the appropriate Authority accounts. Housinq Commission Recommendation The Housing Commission reviewed the recommendation at its regular meeting of June 11, 2014. Staff will provide a verbal report upon request. Executive Summary Staff requested sealed bids for annual landscape maintenance services for thirteen (13) of the Palm Desert Housing Authority's ("Authority") properties. Staff is recommending the award of contract to the lowest responsible bidder, Liberty Landscaping, Inc., to perform landscape maintenance services for a twenty-four (24) month term in the amount of $293,004.00 annually. At the expiration of the twenty-four months, the Authority reserves the right to extend the contract for an additional two one-year terms based on the performance of the Contractor. Staff Report Authorization to Award a Contract No. HA33480 for Landscape Maintenance PDHA June 12, 2014 Page 2 of 2 Backqround Notice of inviting bids for for annual landscape maintenance services for thirteen (13) of the Authority's properties was advertised in the local newspaper on Thursday, April 10, 2014 and Thursday, April 17, 2014 soliciting sealed bids. On Tuesday, April 29, 2014, at 2:00 p.m., sealed bids were opened and read aloud, with the following bids received: Com an Location Annual Cost Libert Landsca in , Inc. Riverside, CA $293,004.00 Golden Valle Construction Palm S rin s $301,350.00 Mari osa Landsca es, Inc. Irwindale, CA $374,184.00 Kirk atrick Landsca in Services, Inc. Indio, CA $389,700.00 The lowest bid received was for $293,004.00 annually from Liberty Landscaping, Inc. Although it is Staff's request to waive all irregularities to all bids received, Staff has conducted a thorough review of all four (4) bids and determined that that Liberty Landscaping, Inc. meets the intent of the Bid Documents. The current landscape maintenance base contract is $293,076.00 annually. Staff therefore recommends awarding the landscape services contract to the lowest responsible bidder, Liberty Landscaping, Inc. in the amount of$293,004.00 annually plus 10% for extra work not to exceed $29,300 annually. At the expiration of the initial twenty-four (24) month contract term, the Authority reserves the right to extend the contract for an additional two one-year terms based on the performance of the Contractor. Fiscal Analvsis The fiscal impact of this contract is the cost of the annual contract itself in the amount of $293,004.00 plus 10% for extra work not to exceed $29,300 annually that may be necessary at the Authority's discretion. HA-33480 PALM DESERT HOUSING AUTHORITY LANDSCAPE MAINTENANCE AGREEMENT This AGREEMENT is made and entered into this 12th day of June 2014, by and between Palm Desert Housing Authority, California, a public agency, hereafter called "Authority" and Libertv Landscape, Inc. hereinafter called "Contractor." WITNESSETH: WHEREAS, on April 10, 2014, Authority invited bids for landscape maintenance services for Authority-owned, maintained and operated properties; and WHEREAS, pursuant to said invitation, Contractor submitted a bid, which was accepted by Authority for said services; and WHEREAS, Contractor has re-examined its Bid Proposal and found it to be correct, NOW, THEREFORE, in consideration of their mutual promises, obligations, and covenants hereinafter contained, the parties hereto agree as follows: 1. TERM. The term of this Agreement shall be from July 1, 2014, through June 30, 2016, or to such later date as may be agreed in writing between parties. This contract allows for an option of two one-year contract extensions based on Contractor's performance and mutual agreement. Any extensions will be contemplated at the same annual contract amount. At the Authority's discretion, an increase may be considered in accordance with the Bureau of Labor Statistics Data published Consumer Price Index (All Urban Consumers) for Los Angeles-Riverside-Orange County area for March not to exceed 2%. 2. AUTHORITY'S OBLIGATIONS. For furnishing services, as specified in this Agreement, Authority will pay and Contractor shall receive in full compensation, therefore the total ANNUAL contract sum TWO HUNDRED NINETY THREE AND FOUR DOLLARS ($)293,004. as set forth in the Contract Documents and adopted by Authority. 3. CONTRACTOR'S OBLIGATION For, and in consideration of the payments and agreements hereinbefore mentioned to be made and performed by Authority, Contractor agrees with Authority to furnish the services and to do everything required by this Agreement and the Contract Documents. 4. HA-33480 proceedings, regulatory proceedings, losses, expenses or costs of any kind, whether actual, alleged or threatened, actual attorney fees incurred by the Authority, court costs, interest, defense costs (including expert witness fees), and any other costs or expenses of any kind whatsoever incurred in relation to, as a consequence of, or arising out of, or in any way attributable in whole or in part to the perFormance of this agreement. Without affecting the rights of the Authority under any provision of this agreement or this section, Contractor shall not be required to indemnify and hold harmless the Authority as set forth above, for liability attributable to the sole fault of the Authority, provided such sole fault is determined by agreement between the parties or the findings of a court of competent jurisdiction. This exception will apply only in instances where the Authority is shown to have been solely at fault and not in instances where Contractor is solely or partially at fault or in instances where Authority's fault accounts for only a percentage of the liability involved. In those instances, the obligation of Contractor will be all-inclusive and Authority will be indemnified for all liability incurred, even though a percentage of the liability is attributable to conduct of the Authority. Contractor acknowledges that its obligation pursuant to this section extends to liability attributable to the Authority, if that liability is less than the Sole fault of the Authority. Contractor agrees to obtain executed indemnity agreements with provisions identical to those set forth here in this section from each and every subcontractor, sub-tier contractor, or any other person or entity involved by, for, with or on behalf of Contractor in the perFormance of this agreement. In the event Contractor fails to obtain such indemnity obligations from others as require here, Contractor agrees to be fully responsible according to the terms of this section. Failure of the Authority to monitor compliance with these requirements imposes no additional obligations on the Authority and will in no way act as a waiver of any rights hereunder. This obligation to indemnify and defend the Authority as set forth herein is binding on the successors, assigns, or heir of Contractor and shall survive the termination of this agreement or this section. Contractor understands that the Authority may utilize a third-party property manager, as its agent and/or representative, to act on its behalf with respect to the landscape contract. 5. AMENDMENTS. Any amendment, modification, or variation from the terms of this Agreement shall be in writing, signed by the Contractor and approved by the Executive Director or the Authority Board. 6. TERMINATION. If, during the term of this Agreement, Authority determines that Contractor is not faithfully abiding by any term or condition contained herein, Authority may notify Contractor in writing of such defect or failure to perform; which notice must give Contractor a three-day notice of time thereafter in which to perform said work or cure the deficiency. If Contractor fails to perForm said work or cure the deficiency within the three (3) days specified in the notice, such shall constitute a breach of this Agreement and Authority may terminate this Agreement immediately by written notice to Contractor to said effect. Thereafter, except as otherwise set forth herein, neither party shall have any further duties, obligations, responsibilities, or rights under this Agreement except, however, any and all obligation of Contractor's surety shall remain in full force and effect, and shall not be extinguished, reduced, or in any manner waived by the termination Page 2 of 6 G:\HOUSING\RENTAL\PDHA Contract Agreements\Landscape Contracts\LIBERIY LANDSCAPING\PDHA Landscape Maintenance Contracl AGREEMENT FOR STAFF REPORT.doc CONTRACT NO. In said event, Contractor shall be entitled to the reasonable value of its services perFormed from the beginning of the period in which the breach occurs up to the day it received Authority's Notice of Termination, minus any offset from such payment representing Authority's damages from such breach. Authority reserves the right to delay any such payment until completion of confirmed abandonment of the project, as may be determined in Authority's sole discretion, so as to permit a full and complete accounting of costs. In no event, however, shall Contractor be entitled to receive in excess of the compensation quoted in its bid. The Authority may terminate the contract with 30 days written notice for any reason. 7. INCORPORATED BY REFERENCE. The Notice Inviting Bids; Bid Terms and Conditions; Instructions to Bidders, General Terms and Conditions; Specific Terms and Conditions; Contractor's BID Submission Forms; Attachments; Exhibits; Addendums if any; Change Orders; additional or supplemental specifications, drawing, maps or diagrams; and Authority-issued forms relating to this work, are hereby incorporated in and made a part of this Agreement and collectively the "Contract Documents". 8. COMPLETE AGREEMENT. This written Agreement, including all writings specifically incorporated herein by this reference, shall constitute the complete agreement between the parties hereto. No oral agreement, understanding, or representation not reduced to writing and specifically incorporated herein shall be of any force or effect, nor shall any such oral agreement, understanding, or representation be binding upon the parties hereto. 9. ANTI-DISCRIMINATION. In the perFormance of the terms of this Agreement, Contractor agrees that it will not engage in, nor permit such subcontractors as it may employ, to engage in discrimination in employment of any person because of the age, race, color, sex, national origin or ancestry, or religion of such persons. Violation of this provision may result in the imposition of penalties referred to in Labor Code Section 1735. 10. AUDIT. Authority shall have the option of inspecting and/or auditing all records and other written material used by Contractor in preparing its statements to Authority as a condition precedent to any payment to Contractor. 11. NOTICE. In the event an action is filed by either party to enforce any rights or obligations under this Agreement, the prevailing party shall be entitled to recover reasonable attorney's fees and court costs, in addition to any other relief granted by the court. 13.
