Recommendation:
By Minute Motion, that the Agency Board:
1. Award Contract No. R- 22710 to Rosenow Spevacek Group Inc. in
the amount of $41,810 for professional consultant services for
reporting and filing the Five-Year Implementation Plan and Ten-Year
Housing Compliance Plan Proposal;
2. Authorize the Finance Director to set aside the amount of $4,181 as
10% contingency (use of contingency requires additional action);
3. Appropriate $23,908 from unobligated Housing Set-aside to Account
No. 870-4195-466-3092; and
4. Appropriate $22,083 from unobligated Agency Funds to the following
account numbers:

Discussion:
AB1290 requires the Agency to prepare and approve an Implementation Plan for each of
the project areas that details the projects it anticipates accomplishing within the next five

years. The Agency is also required to provide an affordable housing compliance
plan/strategy for the next ten years. This year the State has imposed additional
requirements to be included in the report through AB 637 and SB 701.
This comprehensive Five-Year Implementation Plan will document what both the
Housing Division and the Agency have done, as well as what we project to accomplish
within the Plan's time frame. It will also be a working document for Housing that will
show the methods the Agency will use to meet the needs of the RHNA (Regional
Housing Needs Assessment), the Stipulation, and additional requirements imposed by
AB 637 and SB 701.
Of particular importance, given the current economic condition facing the State of
California is the need for the Redevelopment Agency to demonstrate to the State the
benefits of Redevelopment and the progress we've made. The Implementation Plans
provide us with a vehicle to substantiate upcoming projects that could be in jeopardy if
the State continues to take money from redevelopment agencies.
Staff has contacted the consultant that prepared the previous plan who encouraged staff
to begin as soon as possible because it can be quite a lengthy process. With every
agency in the State required to file this report by December 31, 2004, a consultant such
as Rosenow Spevacek Group will be inundated with requests to perform the same
service. Staff asked for a more comprehensive detailed approach to the Plan for both
Redevelopment and Housing. Utilizing the same consultant as the previous plan will
maintain consistency of information, as well as minimize the duplication of historical
information.

AGREEMENT
THIS AGREEMENT, made and entered into this 13th day of May, 2004, by and
between the PALM DESERT REDEVELOPMENT AGENCY hereinafter referred to as
"REDEVELOPMENT AGENCY" and the ROSENOW SPEVACEK GROUP INC.,
hereinafter referred to as "CONSULTANT".
WITNESSETH:
WHEREAS, CONSULTANT is a corporation, the principal members of which are
Professional Consultants duly registered under the laws of the State of California; and
WHEREAS, REDEVELOPMENT AGENCY desires to engage CONSULTANT to
render certain technical and professional consulting services as set forth in Exhibit "A"
(Consultant's Proposal of Services) in connection with providing the Redevelopment
Agency with a Five-Year Implementation Plan and Ten-Year Housing Compliance Plan.
NOW, THEREFORE, the parties hereto agree as follows:
(1) REDEVELOPMENT AGENCY hereby agrees to engage
CONSULTANT to perform the technical and/or professional services as hereinafter set
forth.
(2) CONSULTANT shall perform all work necessary within the
schedules provided herein to complete the services set forth in Exhibit "A" attached
hereto and by reference incorporated herein and made a part hereof.
(3) All information, data, reports and records and maps as are existing
and available from the REDEVELOPMENT AGENCY and necessary for the carryings
out of the work outlined in Exhibit "A" hereof shall be furnished to CONSULTANT

without charge by REDEVELOPMENT AGENCY and REDEVELOPMENT AGENCY
shall cooperate in every way reasonable in the carrying out of the work without delay.
(4) CONSULTANT represents that, it employs or will employ at its own
expense, all personnel required in performing the services under this Agreement.
(5) All of the services required hereunder will be performed by
CONSULTANT or under its direct supervision, and all personnel engaged in the work
shall be qualified and shall be authorized or permitted under state and local law to
perform such services.
(6) The execution of this Agreement by the parties hereto does not
constitute an authorization to proceed. REDEVELOPMENT AGENCY's Project
Administrator has not authorized CONSULTANT to proceed.
(7) The CONSULTANT shall work closely with the
REDEVELOPMENT AGENCY's Project Administrator, who shall be the principal officer
of the REDEVELOPMENT AGENCY. The CONSULTANT shall review and receive the
Executive Director approval of the details of work as it progresses.
(8) The CONSULTANT warrants that he has not employed or retained
any company or person, other than a bona fide employee working solely for the
consultant, to solicit or secure this Agreement, and that he has not paid or agreed to
pay any company or person, other than a bona fide employee working solely for the
consultant, any fee, commission, percentage, brokerage fee, gifts, or any other
consideration, contingent upon or resulting from the award or making of this Agreement.
For breach or violation of this warranty, REDEVELOPMENT AGENCY shall have the
right to annul this Agreement without liability, or in its discretion to deduct from the

contract price or consideration, or otherwise recover; the full amount of such fee,
commission, percentage, brokerage fee, gift or contingent fee.
(9) The right is reserved by the REDEVELOPMENT AGENCY to
terminate the Agreement at any time upon seven (7) days written notice, in the event
the project is to be abandoned or indefinitely postponed, or in the event the
CONSULTANT's services, in the sole judgment of REDEVELOPMENT AGENCY, are
unsatisfactory or because of the CONSULTANT's failure to prosecute the work with
diligence or within the time limits specified or because of his disability or death. In any
such case, the CONSULTANT shall be paid the reasonable value of the services
rendered, based upon CONSULTANT's standard hourly rates, up to the time of the
termination. The CONSULTANT shall keep adequate records to substantiate costs and
provide copies of original time-cards in the event of termination or suspension.
(10) All documents including tracings, drawings, estimates, reports,
investigations and computations shall be delivered to and become the property of the
REDEVELOPMENT AGENCY. REDEVELOPMENT AGENCY acknowledges and
agrees that all plans, specifications, reports and other design documents prepared by
CONSULTANT pursuant to this agreement shall be used exclusively on this project and
shall not be used for any other work without the written consent of CONSULTANT. In
the event REDEVELOPMENT AGENCY and CONSULTANT permit the re-use or other
use of the plans, specifications, reports or other design documents, REDEVELOPMENT
AGENCY shall require the party using them to indemnify and hold harmless
REDEVELOPMENT AGENCY and CONSULTANT regarding such re-use or other use,
and REDEVELOPMENT AGENCY shall require the party using them to eliminate any

and all references to CONSULTANT from the plans, specifications, reports and other
design documents.
(11) The CONSULTANT shall comply with all federal, state and local
laws, ordinances and regulations applicable to work.
(12) No change in the character or extent of the work to be performed
by the CONSULTANT shall be made except by supplemental authority in writing
between REDEVELOPMENT AGENCY and the CONSULTANT. The supplemental
authority shall set forth the changes of work, extension of time and adjustment of the fee
to be paid by REDEVELOPMENT AGENCY to the CONSULTANT, if any.
(13) In connection with the execution of this Agreement, the
CONSULTANT shall not discriminate against any employee or applicant for
employment because of race, religion, color, sex or national origin. The CONSULTANT
shall take affirmative actions to insure equal employment opportunity and that
employees are treated during their employment without regard to their race, religion,
color, sex or national origin. Such actions shall include, but not limited to, the following:
employment, upgrading, demotion or transfer; recruitment or recruitment advertising;
layoff or termination; rates of pay, or other forms of compensation and selection for
training, including apprenticeship. This clause shall be included in each related
subcontract, if any, awarded by the CONSULTANT.
(14) The REDEVELOPMENT AGENCY agrees to pay the
CONSULTANT for the work required by this Agreement on the following basis:
CONSULTANT shall submit invoices monthly for services performed in
the previous month not to exceed the total contract amount of: $41,810.00 (Forty-one

Thousand Eight Hundred Ten and No/100 Dollars). REDEVELOPMENT AGENCY
agrees to pay all undisputed invoices within thirty (30) days of receipt of invoice.
REDEVELOPMENT AGENCY agrees to notify CONSULTANT of disputed invoices
within fifteen (15) days of receipt of said invoice.
(15) The CONSULTANT agrees to complete and submit the Final Draft of
the Five-Year Implementation Plan and Ten-Year Housing Compliance Plan as outlined
in Exhibit "A".
(16) In the event that any judgment is entered in any action upon this
Agreement, the party hereto against whom such judgment is rendered agrees to pay the
other party an amount equal to the reasonable value of the legal services performed in
his or its behalf in such action and that such amount may be added to and made a part
of such judgment.
(17) This Agreement shall be binding on the successors and assigns of
the parties, but it shall not be assigned by the CONSULTANT without written consent of
the REDEVELOPMENT AGENCY.
(18) The CONSULTANT shall be an independent contractor, not an
employee of the REDEVELOPMENT AGENCY.
(19) Prohibited interests are as follows:
No officer, member or employee of the REDEVELOPMENT AGENCY
during his tenure or one year thereafter shall have any interest, direct or indirect, in this
Agreement or the proceeds thereof. The parties hereto covenant and agree that to
their knowledge no member of the Redevelopment Agency Board, officer or employee
of the REDEVELOPMENT AGENCY has any interest, whether contractual, non-

contractual, financial or otherwise, in this transaction, or in business of the contracting
party other than the REDEVELOPMENT AGENCY, and that if any such interest comes
to the knowledge of either party at any time a full and complete disclosure of all such
information will be made in writing to the other party or parties, even if such interest
would not be considered a conflict of interest under applicable laws.
The CONSULTANT hereby covenants that he has, at the time of this
Agreement, no interest, and that he shall not acquire any interest in the future, direct or
indirect, which would conflict in any manner or degree with the performance of services
required to be performed pursuant to this Agreement. The CONSULTANT further
covenants that in the performance of this work no person having any such interest shall
be employed by the CONSULTANT.
(20) The CONSULTANT shall indemnify and save harmless the
REDEVELOPMENT AGENCY, its officers and employees from and against any
liability, loss, cost or expense resulting from any injury or damage to persons or
property caused by the negligent acts or omission of the CONSULTANT, its
agents or employees, while engaged in the performance of this Agreement.
(21) In case of conflicts within the contract documents, the document
precedence shall be as follows:
(a) This Agreement;
(b) Exhibit "A" (Consultant's Proposal of Services, and any
written modifications thereto);
(c) Exhibit "B" (Consultant's Fee Proposal, and any written
modifications thereto).

PROPOSAL FOR CONSULTANT SERVICES
Dear Mr.Yrigoyen and Ms. La Rocca:
Rosenow Spevacek Group, Inc. ("RSG") welcomes the opportunity to assist the City of Palm
Desert (the "City") and the Palm Desert Redevelopment Agency ("Agency") prepare their
required third Five-Year Implementation Plan and Ten-Year Housing Compliance Plan. Pursuant
to our recent correspondence and phone conversations the following provides our understanding
of the services required by the Agency and City.
APPROACH
It is intended that the Agency's 2004-05 through 2008-09 Implementation Plan focus on
providing the Agency with a comprehensive "implementation strategy" for all redevelopment
activities. Rather than titling the document a "Plan" the "Five-Year Strategy"would provide staff
and Agency Board the opportunity to plan out and prioritize future implementation activities. The
document would be well thought-out and written in "plain English," designed to communicate not
only the Agency's plan of action for the next five years, but also the long and short turn benefits
that redevelopment has afforded the community. Prior Agency activities and projects will also be
highlighted.
The affordable housing compliance plan would provide the Agency and City with an "affordable
housing strategy" covering the required ten-year time period. This approach is desirable
because of the additional requirements now imposed on redevelopment agencies by AB 637 and
SB 701 as well as the unique housing obligations imposed on the Agency by the Stipulated
Judgment. We believe it would be extremely beneficial to the Agency and City to prepare an
Affordable Housing Strategy that would identify all Agency and City affordable housing needs and
obligations in conjunction with providing a well outlined course of action (prioritized projects and
programs) that would provide the means to meet both the City's and Agency's housing
obligations over the next ten years.

SCOPE OF SERVICES
The following outlines the scope of work required to conduct the necessary effort to prepare the
envisioned documents. Attached to this letter proposal are draft outlines for each Strategy for
the Agency's review.
Data Collection/Scoping: will be conducted to secure noted information and direction from the
project team (City and Agency staff, legal counsel and consultant)to discuss needed documents
and issues:
o Discuss and further refine the scope and objectives of the Implementation
Strategy and Affordable Housing Strategy(compliance plan).
o Identify key planning, financial, and political issues that would affect the
preparation and adoption of the documents.
o Review the current implementation and housing compliance plans, City Housing
Element, and Zoning Code; gather information on current status of projects and
programs identified in the prior documents, and confirm the assumptions and
analysis of the current ten-year affordable housing compliance plan.
o Identify key resource people and collect all pertinent documents which could
include: current budget and annual work program, the County Auditor-Controller's
fiscal year 2003-04 assessed valuation report for the Project Areas, prior year
reports to the Department of Housing and Community Development, debt service
schedules, the Statement of Indebtedness, the 2002-03 Agency Audit.
o Identify past projects and programs to be highlighted in documents.
o Gather proposed implementation (redevelopment and housing) projects and
programs.
o Identify any non-tax increment funding sources to be used for desired
redevelopment(non-housing) and housing projects.
Identify Potential Five Year Redevelopment (Non-housing) Projects and Five and Ten Year
Housing Projects and Programs
o Based upon the collected data and staff input, RSG would identify anticipated
redevelopment projects. Staff will prioritize redevelopment projects that are
anticipated for the five-year planning period. RSG will likewise identify existing
and potential housing projects and programs for five and ten year periods.

Identify Projected Revenues and anticipated Redevelopment Expenditures
o RSG with the assistance of Agency staff will estimate ten-year revenue and
expenditures for the Agency's housing and redevelopment funds.
o Develop and refine Redevelopment and Housing Strategy document outlining.
o Develop cash flow model illustrating ability of Agency to fund redevelopment and
affordable housing production for the planning periods.
Draft Redevelopment and Housing Strategy(Implementation/Housing Compliance Plan)
o Delineate implementation projects/programs (for both redevelopment and
housing) in sufficient detail to measure performance. For redevelopment provide
potential programs and projects by year showing expected expenditures. For
housing include on an annual basis, expenditures, and number of units
developed, rehabilitated, destroyed, or assisted. Identify potential sites for housing
development.
o Develop a schedule of actions for implementing the redevelopment and housing
projects and programs identified in the Strategies.
o Factor into the Housing Strategy requirements of the Stipulated Judgment and
Housing Element affordable housing needs including the City's Regional Housing
Needs Allocation ("RHNA") numbers.
o Ensure compliance with current law, including AB 637 and SB 701.
Adopt the Redevelopment and Housing Strategy(Implementation Plan/Compliance Plan)
o Circulate screen check draft Strategies to Agency staff and legal counsel. Meet
with staff to discuss comments and prepare final draft incorporating comments
received.
o Upon incorporating staff comments, RSG will present the proposed
implementation plan to the Redevelopment Agency at workshop session. Agency
input would be discussed with staff and included in the implementation plan as
appropriate.
o Prepare public hearing notice for Agency counsel review. Prepare necessary
staff report and adopting resolution.
o Present draft Strategies at Agency workshop. Take input from Agency and make
appropriate changes to documents
o Present final Redevelopment and Housing Strategies (5 and 10 year plans) at
Agency public hearing.

TIMING
The attached outline enumerates the task and timeframes required to accomplish preparation
and adoption of the documents by early November of 2004.
PROJECT TEAM
Felise Acosta, Principal/Project Manager
Ms. Acosta will assume the role of Project Manager for this engagement conducting the majority
of the work effort. Ms. Acosta will attend all meetings, act as lead contact, and coordinate all
activities with the City and Agency staff and counsel. She will also coordinate support staffs data
gathering efforts, and oversee all analysis and projection development. Ms. Acosta will be
directly responsible for the preparation of the Strategies.
Other Project Team Members
Katherine Han and Sweta Bhattacharya,Analysts
Ms. Han and Ms. Bhattacharya will assist Ms. Acosta with this engagement. They will be
responsible for research, data gathering, assembly of required financial and project information.
They will also assist in preparation of necessary financial models.
FEE QUOTE
RSG proposes to accomplish the Scope of Services based upon a time-and-material basis for a
not to exceed fee. As noted in the budget table on the following page, the estimated cost for the
Redevelopment Strategy is $20,075 and $21,735 for the Affordable Housing Strategy. This fee
quote includes attendance at the Agency workshop and Public Hearing and two on site meetings
with Agency staff. Invoices will be issued monthly and are payable upon receipt. Invoices will
identify personnel,tasks, hours expended, and the hourly rate. RSG's 2004 hourly rate structure
for consultant services is as follows:
