AGREEMENT
Recommendation:
By minute motion, that the Agency Board:
Approve an Agreement with the Keith Companies for project
management services in an amount not to exceed $44,850 plus $1,000
for reimbursable costs for the project known as Laguna Palms
Apartments based on the proposal and rate sheet provided.
2. Authorize the Chairman to execute such contract.
3. Appropriate $45,850 to account number 870-4481-464-4001
Executive Summarv:
Approval of staff recommendation will initiate the project management services for the exterior
rehabilitation of 48 apartment units known as Laguna Palms Apartments. The Project Manager
will be responsible for coordinating all work on the property with the contractor, the property
managers and the tenants. Rejection of the staff recommendation will result in a significant
delay in the rehabilitation of the property. Lack of a Project Manager will also cause disruptions
to the daily activities of the property's occupants.
Discussion:
The Laguna Palms Apartment complex was acquired by the Redevelopment Agency in July

2003. It has been a goal of the Agency to repair not only the interior of the units but also to
address the structure concerns and architecturally upgrade the exterior. In September 2004 a
contract was approved with Prest Vuksic Architects to design facade enhancements as well as
create new hard scape and landscape design for this project.

It is important that project management services be retained at this time in order for the project
manager to review and become familiar with the construction documents in order to coordinate
the construction of this project taking into consideration that the project will continually be
occupied.
Three companies were reviewed from the Qualification Statements on file. Of the three,
reviewed, The Keith Companies is staff recommendation due to availability, accessibility, price,
and experience. The two other companies considered were V2C Group, who is currently
handling other projects for the Agency, and the JCM Group, who has not handled any projects
for the Agency. V2C currently is handling two large projects for the Agency and staff is not
recommending them for this reason. JCM Group is well qualified, however, staff has concerns
due to past experience with firms who have provided similar services that are not located in the
valley. That along with their price of approximately $122,000, is the basis for staffs
recommendation not to utilize JCM Group for this project.
Considering the availability, accessibility, price, and past experience with the Keith Companies,
staff recommends that we use the Keith Companies in the amount not to exceed $44,850 plus
reimbursables in an amount not to exceed $1,000 for project management services for the
Laguna Palms Apartments renovation project.

AGREEMENT
THIS AGREEMENT, made and entered into this 12t" day of Mav , 2005, by
and between THE CITY OF PALM DESERT REDEVELOPMENT AGENCY hereinafter
referred to as "REDEVELOPMENT AGENCY" and THE KEITH COMPANIES,
hereinafter referred to as "PROJECT MANAGER".
WITNESSETH:
WHEREAS, PROJECT MANAGER is a corporation, the principal members of
which are professional engineers duly registered under the laws of the State of
California; and
WHEREAS, REDEVELOPMENT AGENCY desires to engage PROJECT
MANAGER to render certain technical and professional services as set forth in Exhibit
"A" (Scope of Services) in connection with the oroiect management services for the
exterior rehabilitation of 48 apartment units known as Laguna Palms Apartments.
NOW, THEREFORE, the parties hereto agree as follows:
(1) REDEVELOPMENT AGENCY hereby agrees to engage PROJECT
MANAGER to perform the technical and/or professional services as hereinafter set
forth.
(2) PROJECT MANAGER shall perform all work necessary within the
schedules provided herein to complete the services set forth in Exhibit "A" attached
hereto and by reference incorporated herein and made a part hereof.

(3) All information, data, reports and records and maps as are existing
and available from the REDEVELOPMENT AGENCY and necessary for the carryings
out of the work outlined in Exhibit "A" hereof shall be furnished to PROJECT
MANAGER without charge by REDEVELOPMENT AGENCY and REDEVELOPMENT
AGENCY shall cooperate in every way reasonable in the carrying out of the work
without delay.
(4) PROJECT MANAGER represents that it employs, or will employ at
its own expense, all personnel required in performing the services under this
Agreement.
(5) All of the services required hereunder will be performed by
PROJECT MANAGER or under its direct supervision, and all personnel engaged in the
work shall be qualified and shall be authorized or permitted under state and local law to
perform such services.
(6) The execution of this Agreement by the parties hereto does not
constitute an authorization to proceed. REDEVELOPMENT AGENCY's Housing
Authority Administrator has not authorized PROJECT MANAGER to proceed.
(7) The PROJECT MANAGER shall work closely with the
REDEVELOPMENT AGENCY's Housing Authority Administrator, who shall be the
principal officer of the REDEVELOPMENT AGENCY. The PROJECT MANAGER shall
review and receive the Executive Director approval of the details of work as it
progresses. The Principal hereby designated by the PROJECT MANAGER as its
representative for supervision of the work required by this Agreement is Jim Janosik.

(8) The PROJECT MANAGER warrants that he has not employed or
retained any company or person, other than a bona fide employee working solely for the
consultant, to solicit or secure this Agreement, and that he has not paid or agreed to
pay any company or person, other than a bona fide employee working solely for the
consultant, any fee, commission, percentage, brokerage fee, gifts, or any other
consideration, contingent upon or resulting from the award or making of this Agreement.
For breach or violation of this warranty, REDEVELOPMENT AGENCY shall have the
right to annul this Agreement without liability, or in its discretion to deduct from the
contract price or consideration, or otherwise recover, the full amount of such fee,
commission, percentage, brokerage fee, gift or contingent fee.
(9) The right is reserved by the REDEVELOPMENT AGENCY to
terminate the Agreement at any time upon seven (7) days written notice, in the event
the project is to be abandoned or indefinitely postponed, or in the event the PROJECT
MANAGER's services, in the sole judgment of REDEVELOPMENT AGENCY, are
unsatisfactory or because of the PROJECT MANAGER's failure to prosecute the work
with diligence or within the time limits specified or because of his disability or death. In
any such case, the PROJECT MANAGER shall be paid the reasonable value of the
services rendered, based upon PROJECT MANAGER's standard hourly rates, up to the
time of the termination. The PROJECT MANAGER shall keep adequate records to
substantiate costs and provide copies of original time -cards in the event of termination
or suspension.

(10) All documents including drawings, logs, schedules, estimates,
reports, investigations and computations shall be delivered to and become the property
of the REDEVELOPMENT AGENCY.
(11) The PROJECT MANAGER shall comply with all federal, state and
local laws, ordinances and regulations applicable to work.
(12) No change in the character or extent of the work to be performed
by the PROJECT MANAGER shall be made except by supplemental authority in writing
between REDEVELOPMENT AGENCY and the PROJECT MANAGER. The
supplemental authority shall set forth the changes of work, extension of time and
adjustment of the fee to be paid by REDEVELOPMENT AGENCY to the PROJECT
MANAGER, if any.
(13) In connection with the execution of this Agreement, the PROJECT
MANAGER shall not discriminate against any employee or applicant for employment
because of race, religion, color, sex or national origin. The PROJECT MANAGER shall
take affirmative actions to insure equal employment opportunity and that employees are
treated during their employment without regard to their race, religion, color, sex or
national origin. Such actions shall include, but not limited to, the following: employment,
upgrading, demotion or transfer; recruitment or recruitment advertising; layoff or
termination; rates of pay, or other forms of compensation and selection for training,
including apprenticeship. This clause shall be included in each related subcontract,
if any, awarded by the PROJECT MANAGER.
(14) The REDEVELOPMENT AGENCY agrees to pay the PROJECT
MANAGER for the work required by this Agreement on the following basis:

PROJECT MANAGER shall submit invoices monthly for services
performed at the rates detailed in Exhibit A in the previous month not to exceed the total
contract amount of: $ 44.850 plus $1.000.00 in reimbursable expenses (fortv-four
thousand eight hundred fiftv dollars plus one thousand dollars in reimbursable
expensed. REDEVELOPMENT AGENCY agrees to pay all undisputed invoices within
thirty (30) days of receipt of invoice. REDEVELOPMENT AGENCY agrees to notify
PROJECT MANAGER of disputed invoices within fifteen (15) days of receipt of said
invoice.
(15) The PROJECT MANAGER agrees to complete and submit the
Constructability Review and other deliverable products as displayed in Exhibit "A".
(16) In the event that any judgment is entered in any action upon this
Agreement, the party hereto against whom such judgment is rendered agrees to pay the
other party an amount equal to the reasonable value of the legal services performed in
his or its behalf in such action and that such amount may be added to and made a part
of such judgment.
(17) This Agreement shall be binding on the successors and assigns of
the parties, but it shall not be assigned by the PROJECT MANAGER without written
consent of the REDEVELOPMENT AGENCY.
(18) The PROJECT MANAGER shall be an independent contractor, not
an employee of the REDEVELOPMENT AGENCY.
(19) Prohibited interests are as follows:
No officer, member or employee of the REDEVELOPMENT AGENCY
during his tenure or one year thereafter shall have any interest, direct or indirect, in this

Agreement or the proceeds thereof. The parties hereto covenant and agree that to
their knowledge no member of the Redevelopment Agency Board, officer or employee
of the REDEVELOPMENT AGENCY has any interest, whether contractual, non -
contractual, financial or otherwise, in this transaction, or in business of the contracting
party other than the REDEVELOPMENT AGENCY, and that if any such interest comes
to the knowledge of either party at any time a full and complete disclosure of all such
information will be made in writing to the other party or parties, even if such interest
would not be considered a conflict of interest under applicable laws.
The PROJECT MANAGER hereby covenants that he has, at the time of
this Agreement, no interest, and that he shall not acquire any interest in the future,
direct or indirect, which would conflict in any manner or degree with the performance of
services required to be performed pursuant to this Agreement. The PROJECT
MANAGER further covenants that in the performance of this work no person having any
such interest shall be employed by the PROJECT MANAGER.
(20) The PROJECT MANAGER shall indemnify and save harmless the
REDEVELOPMENT AGENCY, its officers and employees from and against any liability,
loss, cost or expense resulting from any injury or damage to persons or property caused
by the negligent acts or omission of the PROJECT MANAGER, its agents or
employees, while engaged in the performance of this Agreement. The PROJECT
MANAGER shall submit to REDEVELOPMENT AGENCY, prior to the Notice to
Proceed is issued, certification of adequate coverage for professional liability insurance
in amounts approved by the REDEVELOPMENT AGENCY Attorney. Any such

insurance shall not be canceled prior to written notice to and approval from the
REDEVELOPMENT AGENCY.
(21) In case of conflicts within the contract documents, the document
precedence shall be as follows:
(a) This Agreement;
(b) Exhibit "A" Scope of Services, and any written modifications
thereto);
(c) Exhibit "B" (PROJECT MANAGER's Fee Proposal, and any
written modifications thereto).
IN WITNESS WHEREOF, said parties have executed this Agreement the
date first hereinabove written.

SCOPE OF SERVICES

I. Overall Responsibilities:
• Maintain correspondence between parties and provide to Owner within three business days
of mailing or receipt.
• Maintain written minutes of all meetings and outcomes and provide to Owner within three
business days of such meeting.
• Review and recommend payments of invoices submitted by architects, engineers,
contractors, etc.
• Coordinate project with Owner and owner's property managers to ensure minimal
disruption to tenants during the entire project.
• Provide written summary status of the project progress on a monthly basis to the Owner.
Progress reports shall be limited to no more than one page and shall include a summary of
the status of the budget, schedule, recent developments, and outstanding action items.
H. — Pre Construction Services
• Review Preliminary Bid Proposal, Documents provided by architects (specifications)
draft.
• Coordinate with all utility companies for provision of utilities necessary for development,
Serve as Owner's representative for any issue concerning water, sewer, gas, electric, fire
protection, under grounding, and cable services.
• Review Construction Documents submittals (50%, 80%, & 95%).
• Review Final Construction Documents.
• Review Mylar original drawings and hard copy Bid Proposal Documents.
• Review final estimate of probable construction cost.
• Coordinate, facilitate and expedite permitting processes for all agencies having
jurisdiction during this phase and others as necessary.
• Work with architect to develop Final Bid Proposal Documents (specifications) including
modification of boiler plate front-end documents used by the Agency for bidding and
construction projects of this size and nature.

• Submit documents to Public Works Department, Building and Safety Department, and
other departments or agencies from whom review and approval is necessary, prior to
advertisement for bid. Project manager shall facilitate the review of the appropriate
departments and shall transmit their review comments to the appropriate architect or
engineer for incorporation into the final bid documents.
• Review and approve electronic files for drawings and Bid Proposal Document.
♦ Advertisement / Bidding / Construction Contract Award
• Prepare the Invitation for Bid and 1 schedule the bid opening and bid award in concert
with the Agency Board meeting schedule.
• Coordinate distribution of Bid Documents to prospective bidders.
• Facilitate the answering of questions by bidders during the bid period and the preparation
and issuance of any addenda required.
• Review and analyze submitted bids and make recommendation for award based on
information submitted by bidders and on reference checks conducted.
• Conduct pre -bid conference, solicit bids from qualified potential contractors, and generally
facilitate the bid and award processes.
• II. Construction Administration
• Serve as Owner's representative during the construction phase.
• Review and make recommendations on schedules, pay requests, change order proposals,
and related contract documentation.
• Facilitate and expedite responses on Requests for Information and submittals generated by
the contractor and directed to the Architects or Engineers. Review design clarification and
coordinate, with appropriate architect or engineer.
• Visit the construction site periodically at intervals appropriate to the stage of construction
to become familiar with the progress and quality of the completed work and to determine
in general if the work is being performed in accordance with the contract documents.
Guard the Owner against defects and deficiencies in the work.
• Conduct and prepare agendas and minutes for regular progress meetings with the

Contractor, Architects and Engineers and any other interested parties. Issue minutes from
such meetings within three business days of the date of the meetings.
• Provide monthly status reports on the project progress similar in nature and content to
those described under Services During Design above.
• Monitor and report on project schedule status to the Owner.
• Administer the construction contract with the Contractor to assure compliance with the
terms and conditions therein.
• Coordinate provision of temporary utilities including water, sewer, gas, electric and fire
protection to Owner's contractor.
• Coordinate work with property managers and tenants to provide minimal disruption to
tenant.
• Serve as a single point of contact fro all property manager and tenant issues elevated to the
level of Owner involvement.
• Conduct walk-thru's and prepare construction 'punch list'.
• Conduct final walk-through and prepare letter of completion
Project Manager shall provide all services described above plus those others necessary to promote
sound and controlled progress of the project and to promote the best interest of the City of Palm
Desert Redevelopment Agency*

The monthly billing will be on a Percent Complete basis not to exceed $45,850 unless prior
written authorization is received by City of Palm Desert. Additional efforts beyond the initial
authorization which may become necessary due to unforeseen conditions will be authorized
separately by mutually acceptable contract addenda. TKC assumes that printing costs for
drawings and bid packages will be billed through the City's account at a local reproduction
services firm. TKC will coordinate these activities and City will be billed directly by the vendor.
EXCLUSIONS:
Except as described in Sections I and II in the above Scope of Services. TKC shall
neither have control over or charge of, nor be responsible for, the construction means,
methods, techniques, sequences, or procedures, or for safety precautions in connection
with the project. These are solely the responsibilities of the Contractor.

• Plotting and blueprint services and printing. (The client is encouraged to arrange for printing, other than prints or plots
on our blueprint machine and plotters, to be contracted directly with an outside blueprint company acceptable to us.)
