STANTEC CONSULTING, INC. IN THE AMOUNT OF $9,000

Recommendation:
By Minute Motion, that the Agency Board ratify Contract Amendment No. 2 in
the amount of $9,000.00 to Stantec Consulting, Inc. of Palm Desert,
California, for additional design work associated with the civil improvements
for La Spiga restaurant at Entrada del Paseo. Funds are available in
Account No. 850-4358-433-4001.
Executive Summarv:
Approval of the staff recommendation will ratify a contract amendment approved by the
Executive Director under the authority granted by Section 3.30.270 of the Palm Desert
Municipal Code. The same section of code requires this report of the Executive
Director's action.
Discussion:
Under the Disposition and Development Agreement between the Redevelopment
Agency and CV Food Services (d/b/a La Spiga), the Agency is responsible for delivering
to the developer utilities, site improvements, and a finished pad on which the developer
will construct the restaurant. The grading and the finished pad are required to be turned
over to the developer at the time that the developer obtains their building permit and
escrow closes.

Because of the lead time necessary for the Agency to get the civil work permitted and
publicly bid, and to award the construction contract and construct the improvements, the
Agency's civil design is necessarily performed far in advance of the developer's building
design. Therefore, the civil design near the building was based on a very preliminary
conceptual design of the restaurant; the final restaurant design would not be completed
until much later.
As the restaurant design progressed, the exact location of the building was changed,
and the large dining patio and terraced garden area behind the restaurant were
detailed. These details drove changes to the drainage plan, the hardscape design, and
the precise grading plan for the La Spiga parcel. Therefore, revisions to the civil
engineering design were required. Such minor design revisions are common when one
party builds infrastructure on which another party constructs a building. Contract
Amendment No. 1 (previously approved) to Stantec Consulting, Inc. was for the
changes associated with moving the building and changing its footprint. Contract
Amendment No. 2 in the amount of $9,000 compensates Stantec for producing a
revised precise grading plan for the remainder of the La Spiga parcel. It was approved
by the Executive Director on 9 February 2007, and is hereby presented to the Agency
Board for ratification.
The revisions to the precise grading plan performed under Contract Amendments Nos.
1 and 2 will also result in issuance of a change order to the contractor performing the
construction work. The magnitude of this change order is not yet known, but will likely
be less than $20,000.

This Professional Service Amendment covers changes to the subject contract as described herein. The consultant
shall perform all work as necessary or required to complete the Professional Service Amendment items for a lump
sum price agreed upon between the Consultant and the Palm Desert Redevelopment Agency, otherwise referred to as
Owner.
Contract Time Extension -0- Days.
Revised Contract Total $79,800.00
The undersigned Consultant approves the foregoing Professional Service Amendment # 2 as to the changes, if any,
in the contract price specified for each item including any and all supervision costs and other miscellaneous costs
relating to the change in work, and as to the extension of time allowed, if any, for completion of the entire work on
account of said Professional Service Amendment # 2 . The Consultant agrees to furnish all labor and materials and
perform all other necessary work, inclusive of that directly or indirectly related to the approved time extension, required
to complete the Professional Service Amendment items. This document will become a supplement of the contract and
all provisions will apply hereto. It is understood that the Contract Amendment shall be effective when approved by the
Owner.
Execution of this Professional Service Amendment by the Consultant constitutes a binding accord and satisfaction that
fully satisfies, waives, and releases the Owner from all claims, demands, costs, and liabilities, in contract, law or
equity, arising out of or related to the subject of the Professional Service Amendment, whether known or unknown,
including but not limited to direct and indirect costs and/or damages for delay, disruption, acceleration, and loss of
productivity, as well as any and all consequential damages.
This document will become a supplement to the Contract and all provisions will apply hereto, all items included above
must have required signatures as per the purchase resolution.
