Recommendation
By Minute Motion:
1. Authorize the award of Contract No. R30200 for the deconstruction of Sagecrest
Apartments at 73-775 Santa Rosa Way and deconstruction of 73-805 Santa Rosa Way
to Vizion's West, Inc. in the amount of $ 82,620.00;
2. Authorize the Chairman to execute said Agreement for Contract No. R30200; and
3. Authorize the Director of Finance to set aside the amount of $ 8,262.00 as 10 percent
contingency (use of contingency requires additional action).
Funds are available for this project in Account No. 871-8695-466-4001.
Executive Summary
Approval of staff's recommendation will provide for the deconstruction of Sagecrest Apartments
located at 73-775 Santa Rosa Way (APN 627-122-013) and the adjoining residential property at
73-805 Santa Rosa Way (APN 627-122-003). The subject properties are zoned R-2 (Single
Family Residential with Senior Housing Overlay District). The properties are adjacent to
Sagecrest Senior apartment complex. The deconstruction will provide environmentally friendly
removal of the existing buildings.

Backqround
Sagecrest Apartments: This property is located at 73-775 Santa Rosa Way (APN 627-122-
013) on the southeast corner of San Pascual Avenue and Santa Rosa Way. The property is
adjacent to Sagecrest Senior apartment complex and is in close proximity to Joslyn Senior
Center, Catalina Pueblos Community Room, and other Housing Authority Properties. The parcel
is zoned R-2 for Single Family Residential developed with a maximum density of one unit per
4000 square feet of land area with additional allowable density if restricted to senior housing.
The site is 55,076 square feet (1.26 acres) in land area and is improved with a 14 unit
apartment complex comprised of five individual buildings of wood frame/stucco construction.
The unit mix includes one 1-bedroom/1-bathroom unit, twelve 2-bedroom/2-bathroom units, and
one 2-bedroom/1-bathroom unit. The buildings total 13,384 square feet and were originally
constructed in the 1970's. Common area on -site improvements include: swimming pool, carport
structures, garage structure, laundry room, trash enclosures and concrete block walls. The
property is currently vacant and the overall condition of the subject improvements is dilapidated.
On January 10, 2008, the Agency Board approved the acquisition of the subject property and
reimbursement to the Agency using Housing Set -Aside funds if it is determined that the property
qualifies as low/moderate affordable housing. The property's present condition would require
significant improvements to bring the property up to current code requirements.
An assessment of the existing facilities was performed by Prest-Vuksic Architects who identified
numerous areas of concern as follows:
• Inadequate site drainage resulting in ponding and water penetration of exterior walls.
• Handicapped parking and site accessibility do not meet ADA standards
• The interiors of the units do not conform to ADA standards
• The mechanical, electrical and plumbing systems all require major work to meet current
standards
• Exterior electrical systems and lighting fixtures are required for adequate site lighting
• The irrigation systems and landscaping need to be replaced with water efficient irrigation
and drought tolerant landscaping
• Some exterior walls require replacement of framing including stucco and drywall due to
water penetration from sprinklers
• The existing flat roofs require replacement roofing
• Windows and sliding doors require replacing with energy -efficient units as well as
replacement of cabinets, doors, sinks, toilets, etc. and all interior fixtures and finishes
In addition, the configuration of the buildings is poorly planned for site utilization. Removal of the
existing improvements will provide a vacant lot of approximately 55,076 square feet that is
suitable for development of future low/moderate affordable housing. An environmental site
assessment has been completed of the subject property and there are no known onsite
conditions that would limit future development.
73-805 Santa Rosa Way: This residential property (APN 627-122-003) is located adjacent to
Sagecrest Apartments and Sagecrest Senior apartment complex and is also in proximity to
Joslyn Senior Center, Catalina/Pueblos Community Room, and other Housing Authority

Properties. The subject property consists of a 6,969 square foot parcel with a 1,134 square foot
residence, attached carport, and pool. The parcel is zoned R-2 for single family residential
development with a maximum density of one unit per 4000 square feet of land area with
additional density allowable if restricted to senior housing.
On January 8, 2009, the Agency Board approved the acquisition of the subject property using
Housing Set -Aside funds. The property's present condition would require significant
improvements to bring the property up to current code requirements. Removal of the existing
improvements will provide a vacant lot of 6,969 square feet which can be combined into a larger
parcel with the Sagecrest Apartments site totaling 62,045 square feet (1.42 acres) allowing
flexibility in future site planning of up to 39 units.
Asbestos and lead -containing paint/ceramic tile inspections have been completed at the subject
properties and the recommendations will be performed during deconstruction. The
deconstruction will provide for environmentally friendly removal of the improvements from the
two parcels and clearing of the sites including:
• The removal of hazardous material.
• The recycling/reuse of building materials with a goal of 100% diversion from the landfill
of inert waste and 75% of all other building and site components waste.
The removal and green wasting of landscaping.
Rough grading and soil stabilization to prepare the site for future construction.
On September 9, 2010, the Agency Board authorized the City Clerk to publish a Notice Inviting
Sealed Bids for the deconstruction of Sagecrest Apartments located at 73-775 Santa Rosa Way
and deconstruction of 73-805 Santa Rosa Way. The Notice Inviting Sealed Bids was published
in The Desert Sun on October 7, 2010 and November 3, 2010. Sealed bids were opened on
November 29, 2010, from eight responsive bidders listed as follows:

deconstruction of similar projects. Therefore, staff recommends award of contract to Vizion's
West, Inc. for the total lump sum bid price of $ 82,620.00.

Fiscal Analvsis
The cost of this project is less than the estimated cost that was considered and projected within
the overall cost of deconstruction of the combined sites. Deconstruction of the properties will
save the Agency approximately $3,000 annually in maintenance expenses. Funds are available
for this project in Account Number 871-8695-466-4001. There will be no impact on the General
Fund.

The UNDERSIGNED, "Contractor", having carefully examined the site and the Contract
Documents for the DECONSTRUCTION OF IMPROVEMENTS AT SAGECREST
APARTMENTS AT 73-775 SANTA ROSA WAY AND DECONSTRUCTION OF 73-805 SANTA
ROSA WAY, Contract No. R30200, hereby proposes to construct the work in accordance with
the Contract Documents, including Addenda No(s). None per Bryce White 11 / 24 / 10 for
the amount stated in this Proposal.
By submitting this Proposal, Contractor agrees with Owner:
1. That unless withdrawn in person by Contractor or some person authorized in writing by
Contractor — not by telephone or telegram — before the time specified in the Notice Inviting
Bids for the public opening of bids, this Proposal constitutes an irrevocable offer for ninety
(90) calendar days after that date.
2. The Owner has the right to reject any or all Proposals and to waive any irregularities or
informalities contained in a Proposal.
3. That the contract shall be awarded only by the governing body of OWNER. Said contract
shall only be deemed awarded after the contractor's complete submission of all contract
documents, bonds, insurance documentation, and the OWNER shall obtain all necessary
signatures of the governing body, at which time the contract shall be deemed awarded.
4. To submit to Owner such information as Owner may require to determine the Bidder's
financial standing experience and to perform the work.
5. That the accompanying certified or cashier's check or Bid Bond constitutes a guarantee that
if awarded the contract, Contractor will execute the Agreement and deliver the required
bonds and certificates of insurance within twenty (20) days after notice of award, If
Contractor fails to execute and deliver said documents, the check or bond is to be charged
with the costs of the resultant damages to Owner, including but not limited to publication
costs, the difference in money between the amount bid and the amount in excess of the bid

which costs Owner to do or cause to be done the work involved, lease and rental costs,
additional salaries and overhead, increased interest and costs of funding the project,
attorney expense, additional engineering and architectural expense and cost of maintaining
or construction alternate facilities occasioned by the failure to execute and deliver said
documents.

AGREEMENT
FOR

THIS AGREEMENT is made and entered into this day of , by and
between Palm Desert Redevelopment Agency, California, hereafter called "Owner" and
. hereinafter called "Contractor".
WITNESSETH
RECITALS:
Contractor has submitted to Owner its Contractor's Proposal for the construction of Owner's
Project,
1. DECONSTRUCTION OF IMPROVEMENTS AT SAGECREST APARTMENTS AT 73-775
SANTA ROSA WAY AND DECONSTRUCTION OF 73-805 SANTA ROSA WAY,
CONTRACT NO. R30200, in strict accordance with the Contract Documents identified
below, Owner has accepted said Proposal.
2. Contractor states that it has re-examined its Contractor's Proposal and found it to be correct,
has ascertained that its Subcontractors are properly licensed and possess the requisite skill
and forces, has examined the site and Contract in accordance with the Contract Documents
for the money set forth in its Proposal to be paid as provided in the Contract Documents.

Any additional or supplemental specifications, notices, instructions and drawings issued in
accordance with the provisions of the Contract Documents. All of said Documents presently
in existence are by this reference incorporated herein as if here set forth in full and upon the
proper issuance of their documents they shall likewise be deemed incorporated.
2. Contractor shall commence the work within ten (10) calendar days after the date of the
Notice to Proceed and will do all things necessary to construct the work generally described
in Recital No. 1, in accordance with the Contract Documents and will complete said work
within sixty (60) calendar days from the date to commence work in the Notice to Proceed
subject to the scheduling requirement of Section 05101.6 Part B to the satisfaction of the
Owner's Representative.
3. Contractor agrees to indemnify, defend and save Owner and its officers, agents and
employees harmless from:
a. Any and all liability, claims, damages, losses or injuries to any person or other entity,
including injury to Contractor's employees, and all claims which arise from or are
connected with the negligent performance of or failure to perform the work or other
obligations of this Agreement, or which are caused or which are claimed to be caused by
the negligent or intentional acts or omissions of Contractor, its subcontractors, its agents
or employees, and, all expenses of investigating and defending against same,
b. Any and all liability, claims, damages, losses or injuries to any and all contractors,
subcontractors, material -men, laborers, or any other person, firm or corporation
furnishing or supplying work, services, materials or supplies in connection with the
performance of the Agreement.
c. Attention is directed to the General Specifications - Claims, Liability, and Indemnity
Agreement/Hold Harmless sections, which specifications are made part of this
Agreement as set forth in Agreement paragraph 1, above.
4. Attention is directed to Section 6-9, "Liquidated Damages" of the Standard Specifications
and is hereby amended to substitute the "Palm Desert Redevelopment Agency" in place of
"City." Liquidated damages shall be two hundred fifty dollars ($250.00) per calendar day of
delay for the first two weeks, increasing by an additional $250.00 per calendar day every
week thereafter to a maximum of $2,000.000.
5. Should any litigation or arbitration be commenced between the parties concerning the works
of improvements as referenced herein, the prevailing party in any such litigation, being the
Owner or the Contractor, should be entitled to a reasonable sum for attorney's fees incurred
in any such litigation relating to this Contract.
6. This Agreement shall be binding upon all parties hereto and their respective heirs,
executors, administrators, successors, and assigns.
7. Contractor shall be paid in the manner set forth in the Contract Documents the amount of its
Proposal as accepted by Owner, subject to such additions and deductions as may be made
pursuant to the Contact Documents and applicable law.
Satisfactory Performance
The prime Contractor agrees to pay each Subcontractor under this prime contract for
satisfactory performance of its contract no later than ten (10) days from the receipt of each
payment the prime Contractor receives from Palm Desert Redevelopment Agency. Any
delay or postponement of payment from the above referenced time frame may occur only for
good cause following written approval of the Palm Desert Redevelopment Agency.
Release of Retention
The prime Contractor agrees further to release retention payments to each Subcontractor
within thirty (30) days after the Subcontractor's work is satisfactorily completed. Any delay or
postponement of payment from the above referenced time frame may occur only for good
cause following written approval of the City of Palm Desert.
8. Execution of the Agreement by the parties constitutes their agreement to abide by all
applicable provisions of the California Labor Code; constitutes Contractor's certification that
he is aware of the provisions of said Code and will comply with them; and further constitutes
Contractor's certification as follows:
"I am aware of the provisions of Section 3700 of the California Labor Code which requires
every employer to be insured against liability for worker's compensation or to undertake self
insurance in accordance with the provisions of that Code, and I will comply with such
provisions before commencing the performance of the work of this contract."
